Job description

Direct Counsel is partnering with a highly respected, full-service business law firm seeking a Corporate Associate Attorney (2nd–5th Year) to join its Corporate Practice Group in Portland, Oregon. This is an exceptional opportunity for an attorney looking to work with sophisticated clients on complex transactions while gaining meaningful responsibility and direct client exposure.

The ideal candidate will possess substantial experience advising businesses on a broad range of corporate matters, including mergers and acquisitions, corporate governance, securities compliance, entity formation, and corporate finance transactions.

Key Responsibilities
  • Advise clients on mergers and acquisitions, including transaction structuring, due diligence, drafting, negotiation, and closing.

  • Assist with the execution and management of complex corporate transactions.

  • Counsel clients on corporate governance matters, organizational issues, and compliance requirements.

  • Prepare and review corporate documents, including formation documents, operating agreements, bylaws, shareholder agreements, and board resolutions.

  • Support securities compliance and regulatory matters.

  • Assist with corporate finance transactions, capital raises, and investment activities.

  • Coordinate with clients, opposing counsel, financial advisors, and internal teams to ensure efficient transaction management.

  • Maintain multiple active matters while meeting deadlines and providing exceptional client service.

Qualifications
  • Juris Doctor from a top-tier law school with excellent academic credentials.

  • Active Oregon Bar membership, or eligibility to waive into the Oregon Bar.

  • 2–5 years of substantive corporate transactional experience.

  • Strong experience in:

    • Mergers and acquisitions

    • Corporate governance

    • Securities compliance

    • Entity formation and maintenance

    • Corporate finance matters

  • Excellent drafting, negotiation, analytical, and communication skills.

  • Ability to manage multiple transactions in a fast-paced environment.

  • Strong attention to detail and exceptional organizational skills.
