Position Summary

The Corporate Counsel is a strategic business partner to the CEO and Senior Management, responsible for driving legal processes and managing corporate risk across the organization. This role oversees all corporate legal functions, including comprehensive contract lifecycle management, the development and execution of compliance strategy, meticulous corporate governance, and providing expert counsel on a broad range of legal matters. The Corporate Counsel is expected to act as a pragmatic advisor who balances legal boundaries with the company's entrepreneurial drive.

Requirements:
  • Strategic Legal Counsel & Risk Management
    • Serve as a trusted advisor to Senior Management and all internal stakeholders, providing legal guidance on business decisions, risk tolerance, litigation, employment law, intellectual property, and regulatory compliance.
    • Conduct comprehensive legal research, including mapping the regulatory landscape for PBM and Prior Authorization (PA) regulations, to proactively guide the company's position and accreditation efforts.
    • Advise on and mitigate emerging legal risks, including cybersecurity, data privacy, and the legal implications of new technologies.
    • Act as the primary point of contact for ad hoc legal and compliance questions, providing thought leadership and risk evaluation to clients while maintaining the companyโ€™s advisory role.
  • Contract Lifecycle Management
    • Lead the entire contract process, including the drafting, review, editing, and negotiation of all complex non-payroll agreements with clients and vendors.
    • Streamline contract operations by maintaining a structured document management process, maintaining consistent file naming conventions, and evaluating contract management systems for scalability.
  • Corporate Governance & Compliance
    • Spearhead the development, execution, and monitoring of the organizationโ€™s corporate compliance strategy, ensuring adherence to federal and state requirements
    • Ensure the meticulous maintenance of corporate records, including the Corporate Book, and oversee the timely filing and auditing of all fully executed contracts.
    • Manage the companyโ€™s insurance portfolio, policies, and renewals.
  • Legal Administration & Education
    • Develop and implement organizational legal policies and procedures to ensure legally compliant operations.
    • Manage and coordinate external legal counsel and service providers.
    • Provide legal training to employees across the organization to ensure legal policies are understood and effectively enforced.
  • Other duties as assigned

Requirements

  • Juris Doctor from an accredited law school
  • Active license to practice law in the state where the company is located
  • Minimum of five years of experience practicing law
  • Strong knowledge of contract law, employment law, intellectual property law, and healthcare regulatory compliance
  • Preferred industry experience or certification: Experience in healthcare insurance and/or pharmacy benefit management

  • Comprehensive knowledge of all facets of contract law and document preparation

  • High Proficiency in all Microsoft office programs including Word, Excel and PowerPoint
  • High proficiency in all Google Workspace programs include Docs, Sheets, and Slides
  • High proficiency in Westlaw or Lexis/Nexis
