Job description

The position provides legal, operational, and administrative support to the Associate General Counsel in the North America region. The position also supports contract administration, legal documentation, legal operations, corporate housekeeping, matter management, and e-discovery activities to improve the efficiency and effectiveness of legal service delivery.


YOUR RESPONSIBILITIES

CONTRACT & LEGAL DOCUMENT MANAGEMENT
- Draft, review, format, and manage legal documentation and agreements
- Maintain contract repositories and document management systems
- Coordinate contract execution, filing, and renewal tracking
- Support development and maintenance of legal templates and playbooks
- Review and negotiate nondisclosure agreements

LEGAL OPERATIONS & MATTER MANAGEMENT
- Support administration of legal matters, disputes, and claims
- Maintain legal matter tracking and reporting
- Coordinate information requests and document collection
- Support budget tracking and administration of external legal spend

CORPORATE GOVERNANCE & CORPORATE HOUSEKEEPING
- Support maintenance of legal entity records and corporate documentation
- Support governance and corporate secretariat activities
- Support filing requirements and record retention processes
- Ensure legal records are accurate and up to date
- Respond to audit requests from outside auditors

E-DISCOVERY & DOCUMENT REVIEW
- Support investigations through e-discovery activities
- Collect, preserve, and organize electronic records
- Prepare chronologies, document collections, and evidence packages
- Support fact-finding and document review activities
- Maintain confidentiality and evidence-handling standards

LEGAL RESEARCH & DUE DILIGENCE
- Conduct legal and business research
- Support due diligence activities related to projects and transactions
- Gather and summarize relevant regulatory and contractual information
- Prepare research summaries and background materials

IP ADMINISTRATION
- Monitor dates for intellectual property applications, responses, and renewals
- Track and maintain intellectual property assets
- Liaise with internal teams, external IP counsel, foreign agents, and vendors
- Use IP software to maintain and track IP files


WHAT YOU BRING

- 3+ years of experience as a paralegal in either a law firm or corporate setting preferred
- Experience with matter management and invoicing systems
- Experience with corporate governance and secretarial matters
- Accuracy and attention to detail
- Ability to assist with e-discovery tasks
- Ability to organize and prioritize numerous tasks and complete them under time constraints
- Ability to proofread typed material for contextual, grammatical, typographical, or spelling errors
- Strong interpersonal skills when communicating in person, by email, and by telephone
- Ability to follow instructions from attorneys and providing information with tact and diplomacy
- Experience with Microsoft suite of applications
