Job description

The Senior Contracts Manager will play a critical role in supporting corporate transactions by managing the review, organization, and processing of commercial and corporate agreements. This position is responsible for conducting contract-level due diligence, preparing agreements for data room disclosure, managing contract novations and assignments, and handling day-to-day contract interpretation and administration.
This role will be an important part of the corporate legal team within Honeywell Aerospace when it becomes a new, independent public company following its spin out of Honeywell, expected in Q3 2026.
You will report directly to our Vice President, M&A and Licensing. This position is based out of the company's offices in Phoenix, AZ on a hybrid work schedule.
You will work closely with corporate development, legal, finance, tax, controllership, and other specialists within the legal function to ensure proper execution of corporate transactions and compliant management of the company's contract portfolio.
As a successful candidate, you should have strong analytical skills, high attention to detail, and collaborative interpersonal skills to work effectively with other Honeywell professionals across a broad range of functions. You will manage high volumes of agreements across multiple concurrent workstreams while maintaining accuracy and organization.
KEY RESPONSIBILITIES
  • Review and analyze commercial and corporate agreements in connection with mergers, acquisitions, divestitures, and licensing transactions.
  • Conduct contract-level due diligence, including identification of change-of-control provisions, assignment and consent requirements, and other terms that may be triggered or affected by a transaction.
  • Prepare contract summaries, abstracts, and risk assessments to support deal teams in evaluating transaction impacts.
  • Redact confidential, proprietary, and commercially sensitive information from contracts being disclosed in due diligence data rooms.
  • Organize and index agreements within virtual data rooms, ensuring accurate categorization, version control, and completeness of the contract population.
  • Coordinate and manage the novation process for contracts that are assigned or transferred as part of a corporate transaction.
  • Prepare novation agreements and related correspondence, and track execution status across counterparties.
  • Liaise with counterparties, internal stakeholders, and outside counsel to obtain necessary consents and approvals for contract transfers.
  • Interpret contract terms and conditions and provide clear guidance to internal stakeholders on rights, obligations, and risk implications.
  • Manage the contract lifecycle for assigned agreements, including tracking key dates, renewal and termination deadlines, and compliance milestones.
  • Maintain accurate, organized, and up-to-date contract records in the company's contract management system or repository.
  • Assist with corporate cleanup initiatives, including reconciling legacy agreements, identifying expired or superseded contracts, and consolidating contract files.
  • Support process improvement efforts related to contract management workflows, templates, and standard operating procedures.

Qualifications
YOU MUST HAVE
  • 3 years of experience in contract management, contract administration, or a related field involving commercial or corporate agreements.
  • Demonstrated familiarity with a range of commercial and corporate agreement types, including supply agreements, service agreements, license agreements, non-disclosure agreements, and master service agreements.
  • Strong understanding of contract interpretation principles, including assignment, novation, change-of-control, and consent provisions.
  • High attention to detail with the ability to manage large volumes of documents accurately and efficiently.
  • Due to compliance with U.S. export control laws and regulations, candidate must be a U.S. person, which is defined as, a U.S. citizen, a U.S. permanent resident, or have protected status in the U.S. under asylum or refugee status.

  • Bachelor's degree in Business, Legal Studies, or a related field.
  • Experience supporting M&A, divestiture, or other corporate transactions in a contracts or legal operations capacity.

  • Excellent organizational and project management skills, with the ability to prioritize across multiple concurrent transactions and deadlines.
  • Strong written and verbal communication skills, with the ability to convey contract-related information clearly to both legal and business audiences.
  • Proficiency with Microsoft Office Suite (Word, Excel, Outlook) and comfort working with contract management platforms and virtual data room tools.
  • Ability to work independently and exercise sound judgment in a fast-paced, transaction-driven environment.
