About this role

The Senior Attorney will support Prescryptive's current legal team and functions, including partnering with internal stakeholders to drive revenue growth by providing healthcare transactional expertise to support current and new business opportunities. The role also requires expertise in pharmacy benefit management (PBM) compliance, healthcare IT, and other healthcare regulations on a state and federal level, developing and overseeing compliance programs, and collaborating with various internal business groups and external regulators.

Principal Duties, Responsibilities:

  • Support the review, negotiation, and drafting of technology and healthcare IT related transactions, including MSAs, IP licensing, teaming agreements, data rights, PBM, Pharma, pharmacy, healthcare payor, and other industry-related agreements.
  • Support the legal and business teams as necessary, including with regard to the drafting and negotiation of complex agreements in support of sales and business development functions.
  • Monitor, track, interpret, and help ensure compliance with existing and emerging state-specific PBM and pharmacy industry laws and regulations, including licensing, registration, reporting, and contracting requirements.
  • Provide legal guidance on data privacy, security, data sharing, and other IT-related legal issues, especially in the context of pharmacy, pharma, and healthcare plan services and agreements.
  • Partner with business leaders, IT, security, operations, and Chief Compliance and Privacy Officer to ensure legal alignment with business objectives and initiatives.
  • Collaborate with General Counsel and Associate General Counsel to draft updated template agreements as part of legal's continuous improvement process for standard form agreements and legal processes.
  • Review and negotiate vendor and general commercial agreements.

Qualifications & Skills:

  • Highly proficient with commercial and technology contract drafting and negotiations in the healthcare IT, pharmaceutical/e-health/insurance industry.
  • Deep understanding of healthcare IT, PBM, and electronic prescription laws and regulations.
  • Proficiency with transparency obligations in drug pricing and rebates, regulations regarding formulary designs, and retail pharmacy network access obligations, as well as HIPAA, data privacy, security, and data sharing regulations.
  • Excellent business acumen and ability to communicate with and support business teams.
  • Strong analytical and problem-solving skills to provide strategic legal advice that balances risk and business needs.
  • Excellent interpersonal skills with an ability to provide sound, clear legal advice to all levels within the company, including senior business executives.

Minimum Required Education and Experience:

  • Juris Doctorate from an ABA accredited law school; admission to practice in good standing as a member of at least one state bar.
  • 10+ years of technology, healthcare IT, PBM, transactional, and state licensing and regulatory experience.
  • Significant in-house experience for a healthcare IT, PBM, pharma technology, pharmacy, or healthcare payor company.
  • Significant transactional/contract drafting experience, including IP & IT.
  • Significant experience monitoring, tracking, interpreting, and complying with state-specific PBM and pharmacy industry laws and regulations.
  • Significant experience working collaboratively with in-house counsel and business teams.
  • Ability to work remotely.
