Job description

Job Overview
We're Hiring a Corporate Contracts Manager!
The Corporate Contracts Manager is responsible for supporting the full lifecycle of procurement-related contracts with a concentrated focus on vendor, technology, software and professional services agreements. This role serves as a strategic business partner to stakeholders in Engineering, Operations, Marketing, Finance, IT, Human Resources and Compliance, ensuring that contractual arrangements align with organizational objectives, risk tolerance, and legal requirements. The Corporate Contracts Manager combines strong drafting and negotiation expertise with operational rigor in contract administration and legal technology to drive efficiency, transparency, and compliance across the contracting process.
This position reports to VP, Legal - Enterprise, Privacy and Technology and will be based in our Shelton CT office. This position requires the ability to travel up to 10%.
A Day In The Life
  • Draft, review, and revise a wide range of procurement contracts, including Non-Disclosure Agreements (NDAs), Master Service Agreements (MSAs), Software License Agreements, Software as a Service Agreements (SaaS), Statements of Work (SOWs), Professional Services Agreements and Data Processing Agreements (DPAs).
  • Negotiate legal and commercial terms with vendors to achieve balanced outcomes on issues such as pricing protections, service levels, warranties, intellectual property rights, confidentiality, data protection, information security, limitation of liability, indemnification, audit rights, termination rights, and regulatory compliance.
  • Provide practical guidance to internal stakeholders regarding contract terms, negotiation strategy and risks.
  • Administer contract workflows and approval routing in accordance with internal policies.
  • Maintain accurate and complete contract records in the company's Contract Lifecycle Management (CLM) system.
  • Support and manage use of e-signature tools to facilitate timely and compliant execution of agreements.
  • Help develop, maintain, and improve standard contract templates, clause libraries, negotiation playbooks, and procurement contracting procedures.
  • Support CLM training, guidance and education of internal clients, business partners, and fellow legal department team members.
  • Prepare reports, dashboards, and metrics relating to contract volume, turnaround times, renewals, and contract risk trends.
  • Assist with various complex and/or sensitive projects, as assigned.

  • Bachelor's degree required.
  • Minimum of five (5) years prior in-house experience as a contracts manager or similar role.
  • Self-starter, willing to take initiative and lead projects.
  • Able to work independently within a team environment.
  • Strong analytical skills and ability to balance business needs with legal risks.
  • Excellent oral and written communication skills with particular emphasis on client communication and interaction.
  • Strong negotiation skills.
  • Excellent time-management skills.
  • Effective communicator, with the ability to establish and maintain effective relationships with clients, coworkers, and colleagues.
  • Possess strong organizational and project management skills and the ability to handle high volume and balance competing demands.
  • Good judgment, a high level of professional integrity and the discretion, tact, and ability to maintain confidentiality.
  • Detail oriented.

Preferred Qualifications:
  • Prior public company in-house.
  • Adept at software and systems.
