Essential Functions:

The Corporate Contracts and Compliance Manager will lead and oversee the development, review, negotiation, and administration of a wide range of customer, subcontractor, and vendor contracts while managing related legal operations functions. This includes overseeing risk management processes, and ensuring compliance with applicable laws and company policies.

This role serves as a strategic liaison between operations, legal, finance, safety, and business development teams to protect the company’s interests and optimize commercial performance.

Roles and Responsibilities:

Contracts Management (Primary Function):

  • Draft, review, and negotiate contracts, including MSAs, subcontracts, purchase agreements, and service-level agreements.
  • Collaborate with operations and legal teams to assess contractual risk and implement appropriate mitigation strategies.
  • Monitor and manage the full contract lifecycle, including renewals, amendments, and terminations.
  • Maintain a central repository of contracts and ensure adherence to company standards and record keeping practices.
  • Partner with finance to ensure billing terms, invoicing triggers, and payment terms are accurately captured.
  • Develop and standardize contract templates, playbooks, and procedures across Peak’s subsidiaries.
  • Provide contract analysis and guidance during RFP and bid/proposal processes.
  • Conduct training for project managers and leaders on contract obligations and best practices.

Corporate Filings:

  • Manages and assists CT Corp with required operational company filings and regulatory compliance across various states.

Claims Management:

  • Support the management of legal and contractual claims, including gathering documentation, coordinating with legal counsel, and tracking outcomes.

Insurance and Risk Management:

  • Collaborate with insurance brokers, legal counsel, and internal stakeholders to review and maintain insurance requirements in contracts.
  • Monitor compliance with indemnity, insurance, and safety provisions in all agreements.
  • Identify potential areas of risk across operational activities and propose mitigation strategies.
  • Maintain oversight of certificates of insurance, ensuring proper coverage for vendors and subcontractors.
  • Track and coordinate each operating company’s request for bonds

Success Factors:

  • Strong understanding of commercial contracts, indemnity, insurance provisions, and claims/risk management principle.
  • Exceptional attention to detail, organizational skills, and ability to manage multiple priorities.
  • Excellent negotiation, communication, and interpersonal skills.
  • Familiarity with contract lifecycle management (CLM) software and Microsoft Office Suite
  • Ability to work independently and collaboratively in a fast-paced, growth-oriented environment.

Experience and Education:

  • Bachelor’s degree in finance,: paralegal certificate preferred but not required.
  • Minimum of 5 years’ experience in contracts management, legal operations, or related filed preferably in utility construction, engineering, or infrastructure services.

Additional Requirements/Licenses/Certifications:

  • Possession of, or ability to obtain, a valid State of Residence Driver’s License is required within two weeks of employment.
  • Candidates must pass criminal and Motor Vehicle Record (MVR) background checks and pass a pre-employment drug screen.
