Job description

Direct Counsel is representing a prestigious AmLaw firm seeking a midlevel Associate (3–5 years) to join its sophisticated Technology Transactions, Outsourcing & Commercial Contracts practice.

Location: Boston | Chicago | Los Angeles | New York | Philadelphia

This is an exciting opportunity for an attorney with strong technology and commercial transactions experience to work on complex, high-value agreements and strategic business transactions within a nationally recognized corporate platform.

Responsibilities
  • Draft, review, and negotiate a broad range of:
    • Technology agreements
    • Commercial contracts
    • Strategic partnership agreements
    • Licensing and services agreements
  • Advise clients on sophisticated technology and commercial transactions
  • Support clients in outsourcing and operational transactions
  • Collaborate with business and legal teams on complex contractual and transactional matters across multiple industries
Qualifications
  • 3–5 years of law firm experience in:
    • Technology transactions
    • Commercial contracts
    • Complex business transactions
  • Strong drafting and negotiation skills
  • Experience with outsourcing transactions is a plus
  • Excellent academic credentials and strong analytical, organizational, and communication skills
  • Active bar admission in the jurisdiction of the office of interest required
Compensation

Expected salary range in California, Illinois, Massachusetts, and New York: $225,000 – $435,000, depending on experience, qualifications, and market factors.
