Job description

Position Summary:

We are seeking a highly motivated Mid-Level Corporate/MA Transactions Attorney with 5-8

years of relevant experience to join our team. The ideal candidate will have a strong

background with a variety of corporate matters, including MA, entity formation, corporate

governance, commercial contracts, and private financings.


Key Responsibilities:

  • Support MA transactions from inception through closing, including due diligence,

drafting, negotiation, and closing documentation.

  • Draft, review, and negotiate a wide range of commercial agreements (NDAs, service

agreements, vendor/customer contracts, etc.).

  • Support general corporate counseling and day-to-day business matters.
  • Collaborate closely with other attorneys, clients, and professionals in a team-oriented

environment.


Qualifications:

  • J.D. from an accredited law school and active member in good standing of the Virginia

Bar or eligible to waive in.

  • 5-8 years of experience in a corporate transactional practice, preferably with a law firm

or in-house legal department.

  • Strong organizational, drafting and analytical skills.
  • Ability to manage multiple projects in a fast-paced environment.
  • Excellent communication and interpersonal skills.
  • A proactive and client-focused mindset.
