Ratings Agency Seeks CMBS/CRE CLO Counsel

A bond ratings agency located in midtown Manhattan seeks an experienced CMBS/CRE CLO attorney to serve as in-house counsel in its busy and growing CMBS group. This additional hire will support the agency’s industry-leading commercial mortgage-backed securities (CMBS) new issuance ratings group, working on conduit, single-asset/single borrower, CRE CLO and other types of CMBS and structured finance transactions. Ideal candidates will have at least 3 years’ experience with CMBS or CRE CLO from a law firm or in-house. Those with current or previous experience in MBS, CRE CLO, or commercial real estate financing will be considered.

The attorneys on the Ratings Legal team work alongside the ratings analysts in the groups they support to identify, evaluate, and articulate key legal and credit features and risks in transaction structures. As integral members of the credit ratings groups, they also engage in investor outreach, contribute to research reports and methodology reviews, and share their knowledge of relevant market and legal developments. Ultimately, the attorneys in Ratings Legal serve as an important safeguard for ensuring the quality, accuracy, timeliness and consistency of the agency’s ratings.

Key responsibilities will include:

  • Reviewing offering and transaction documents and articulating any legal or credit concerns that emerge
  • Identifying and evaluating the potential credit impact of transaction and loan structures
  • Coordinating with rating analysts on relevant legal issues
  • Participating in rating committees
  • Supporting the analytical team with the preparation of market-leading rating and research reports
  • Assisting the CMBS Surveillance group with Rating Agency Confirmation (RAC) requests.

The title is Assistant Director and it reports to a fantastic, supportive manager and will be one of four people on a collaborative, friendly team. Compensation will consist of a base salary in the range of $200,000 – $240,000 depending on experience. In addition, there will be a 20% target discretionary, performance-based cash bonus and a full suite of benefits. Hours are reasonable and consistent. This role requires you to be in the midtown NYC office 3 days a week on Tuesdays, Wednesdays and Thursdays and work remotely on Mondays and Fridays. This is a rare opportunity to join a dynamic yet balanced in-house legal team reporting to a great manager.
