The mission of Duke Capital Partners (DCP) is to support the global Duke entrepreneurial community with an investment platform and co-investment fund that engages and leverages the power of the global Duke network. The DCP operational team and investment platform exist within Duke's Office for Translation & Commercialization at Duke University. The DCP team partners with Duke-affiliated investors to source and curate investment opportunities in Duke affiliated companies.
DCP investors invest directly in portfolio companies. The DCP team also operates the Duke Innovation Fund (DIF), which invests alongside DCP and augments the capital available for portfolio companies. A key aspect of Duke Capital Partners' approach is the active engagement and matching of DCP member expertise with portfolio companies to support growth and success. What You'll Do
This position provides support to DCP with the management of legal matters.
Deal Documentation & Transaction Support
• Coordinating the preparation, review, and execution of investment documents (term sheets, stock purchase agreements, SAFEs, convertible notes, voting agreements, etc.)
• Tracking deal timelines and ensuring all parties (founders, outside counsel, co-investors) meet signing and closing deadlines
• Organizing and maintaining closing binders/checklists for completed transactions
• Liaising between the fund's investment team and outside legal counsel during deal negotiations
SPV Formation & Compliance
• Assisting with the formation of new investment entities
• Supporting compliance with securities regulations (e.g., Reg D filings, Form D submissions, blue sky filings)
• Helping ensure adherence to "accredited investor" verification requirements
• Coordinating with compliance officers or outside counsel on regulatory filings and audits
Cap Table & Portfolio Recordkeeping
• Maintaining accurate records of capitalization tables, ownership stakes, and investment instruments across portfolio companies
• Tracking board seats, observer rights, and information rights the fund holds in portfolio companies
• Updating internal databases with key legal terms from each investment (pro rata rights, liquidation preferences, anti-dilution provisions, etc.)
Corporate Governance Support
  • Drafting or reviewing investment memos summarizing the opportunity, risks, and recommendations
  • Preparing materials and presentations for DCP Operations Team meetings
  • Synthesizing diligence findings into clear, actionable recommendations for partners

Contract & Document Management
• Drafting routine legal correspondence, NDAs, and side letters
• Maintaining the firm's legal document repository (organizing executed agreements, amendments, and ancillary documents)
• Tracking key contractual dates (e.g., information rights deadlines, ROFR windows, expiration of certain rights)
Investor Relations Support
  • Assisting with drafting and distributing SPV agreements, subscription documents, and side letters
  • Supporting KYC/AML documentation collection from members
  • Coordinating responses to member due diligence requests

Liaison & Administrative Functions
  • Acting as a point of contact between DCP, outside law firms, auditors, and administrators
  • Managing legal department calendars, deadlines, and document workflows
  • Assisting with intellectual property tracking for portfolio companies, where relevant
  • Supporting M&A, IPO, or exit-related legal logistics when portfolio companies are acquired or go public

What You'll Bring
Education/Training:
Bachelor's degree generally required. General knowledge in the legal field is preferred.
Experience:
Requires four years working in related field or equivalent combination of relevant education and professional experience. OR AN EQUIVALENT COMBINATION OF RELEVANT EDUCATION AND/OR EXPERIENCE
Skills:
General knowledge in the legal field is preferred.
Demonstrate the utmost level of discretion and confidentiality.
