Job description

Senior Legal Counsel, Commercial
BetterUp | Full-Time | Hybrid | San Francisco, CA
Let's face it, a company whose mission is human transformation better have some fresh thinking about the employer/employee relationship.
We do. We can't cram it all in here, but you'll start noticing it from the first interview.
Even our candidate experience is different. And when you get an offer from us (and accept it), you get way more than a paycheck. You get a personal BetterUp Coach, a development plan, a trained and coached manager, the most amazing team you've ever met (yes, each with their own personal BetterUp Coach), and most importantly, work that matters.
This makes for a remarkably focused and fulfilling work experience. Frankly, it's not for everyone. But for people with fire in their belly, it's a game-changing, career-defining, soul-lifting move.
Join us and we promise you the most intense and fulfilling years of your career, doing life-changing work in a fun, inventive, soulful culture.
If that sounds exciting-and the job description below feels like a fit-we really should start talking.
This role is based in San Francisco, CA. We are a hybrid company with a focus on in-person collaboration when necessary. Employees are expected to be available to work from our San Francisco hub at least two days per week, or eight days per month. Please ensure you can realistically commit to this structure before applying.
About Our Legal Team
BetterUp's Legal Team acts as talented lawyers, strategic partners, ethical advisors, and innovators. We help BetterUp navigate complex, cutting-edge legal challenges-including novel issues in AI and emerging technologies-with clarity, creativity, and a deep sense of responsibility aligned with our core values: Courage, Craftspersonship, Playfulness, Grit, Empathy, and Zest.
We proactively collaborate with all BetterUp teams to thoughtfully assess new products and technologies from ideation to launch. We analyse potential legal and safety risks, develop robust regulatory compliance strategies, and lead governance initiatives to maintain our commitment to ethical innovation.
The Opportunity
Reporting to the Associate General Counsel, Commercial, we are looking for a Sr Legal Counsel, Commercial who brings enterprise contracting expertise and the commercial judgment to operate as a true business partner at scale.
This role is for a lawyer who thrives on complexity, earns trust with Sales and GTM leadership quickly, and brings a market-informed perspective to every negotiation. You will own a portfolio of enterprise SaaS and Professional Services deals, while also building the playbooks and standards that make the whole team faster. Every negotiation should make the next one easier-not just for you, but for the team.
What You'll Do
Deal Execution & Commercial Leadership
  • Own end-to-end negotiations of enterprise SaaS agreements, Professional Services contracts, SOWs, and strategic partnerships across BetterUp's US and international customer base
  • Manage complex, high-value deals on customer paper-navigating structural amendments, bespoke enterprise terms, and sophisticated procurement processes with speed and precision
  • Partner closely with Sales leadership as a trusted commercial advisor, providing real-time guidance on deal structure, risk, and positioning throughout the sales cycle
  • Manage the in-life legal relationship on BetterUp's most strategic accounts, where commercial obligations do not end at signature
  • Bring a market-informed perspective on what enterprise customers expect in commercial contracting and keep BetterUp's terms current and competitive
  • Support cross-functional teams on product-aligned commercial terms, data commitments, and AI-related contractual provisions
  • Own and continuously improve commercial contract playbooks, translating live negotiation experience into clear fallback frameworks that empower the team to move decisively

Legal Operations & Systems
  • Implement and optimize CLM systems to track agreements, key terms, and renewal cycles
  • Build dashboards providing real-time visibility into deal flow and bottlenecks
  • Lead development of templates, automation, and workflows that streamline the commercial lifecycle
  • Lead refresh of contract templates to reflect new products, AI capabilities, and data governance requirements

If you have some or all of the following, please apply:
  • J.D. from an accredited law school; active bar membership in good standing
  • 3-5 years of post-admission experience in commercial law, with a focus on enterprise SaaS agreements and complex B2B transactions
  • Demonstrable experience managing high-volume deal flows independently, including deals on customer paper with structural amendments
  • A track record of building things, not just advising on them
  • Genuine fluency in legal technology; experience with CLM platforms (Ironclad, Salesforce-native, or equivalent) is a plus
  • Working knowledge of GDPR, CCPA, and AI governance requirements
  • Strong commercial judgment-you know when to hold a position and when to find a creative path forward
  • Clear, confident communication skills; you can distil complexity for Sales, Finance, and senior leadership without losing precision
  • Collaborative, low-ego approach with a track record of building trusted relationships across functions
  • Hands-on experience using AI tools to accelerate contract drafting and review-such as Claude, Harvey, Ironclad AI, or similar-and a genuine interest in pushing the boundaries of what those tools can do in a commercial legal context
  • An eye for the systemic-you naturally think about how to make the next deal faster before the current one has closed

AI Fluency at BetterUp
At BetterUp, we're building an AI-enabled organization where continuous reinvention is a core value. Every team member leverages emerging technologies to unlock innovative solutions and maximize impact.
As a Sr Legal Counsel, you'll:
  • Drive functional strategy for AI adoption within the Legal team, identifying opportunities that create competitive advantage in how commercial work gets done
  • Build scalable AI-powered approaches to contract review, risk triage, and deal acceleration that fundamentally change team throughput
  • Serve as a trusted advisor to leadership on AI capabilities, limitations, and strategic implications in commercial contracting and legal operations
  • Establish governance frameworks and best practices for responsible AI usage in legal processes-and help define AI-related contract standards as the market evolves

We encourage all candidates to share examples of how they've used AI tools in their work-whether it's contract review tools, CLM integrations, or AI-assisted legal research. We view AI fluency as a complement to craft, not a replacement for it.
Hybrid Work Policy & Hub Locations
BetterUp is a hybrid company that values in-person collaboration. This role is required to be in our SF Bay Area Hub lcoation.
  • Hybrid Expectation: You will be expected to work from your local office at least 3 days per week and should be able to realistically commit to this structure before applying.

Benefits
At BetterUp, we are committed to living out our mission every day and that starts with providing benefits that allow our employees to care for themselves, support their families, and give back to their community.
  • Access to BetterUp coaching; one for you and one for a friend or family member
  • A competitive compensation plan with opportunity for advancement
  • Medical, dental, and vision insurance
  • Flexible paid time off
  • All federal/statutory holidays observed
  • 4 BetterUp Inner Work Days
  • 5 Volunteer Days to give back
  • Learning and Development stipend
  • Company wide Summer & Winter breaks
  • Year-round charitable contribution of your choice on behalf of BetterUp
  • 401(k) self contribution
