What does an associate general counsel do?

An Associate General Counsel is a senior lawyer within an organization's legal department who assists the General Counsel in providing legal advice and support to the company. Their responsibilities often include drafting and reviewing contracts, ensuring regulatory compliance, managing litigation, and advising on employment, intellectual property, and corporate matters. They may also supervise other attorneys or legal staff and work closely with different departments to minimize legal risks. The role requires strong legal expertise, communication skills, and the ability to handle complex legal issues efficiently.

What are the key skills and qualifications needed to thrive as an associate general counsel, and why are they important?

To thrive as an Associate General Counsel, you need a Juris Doctor (JD) degree, a state bar license, and strong expertise in legal research, analysis, and drafting. Familiarity with contract management systems, legal research tools like Westlaw or LexisNexis, and compliance software is typically required. Job description

Our client is a privately held midstream energy company focused on providing critical natural gas infrastructure and energy solutions across key producing regions in the United States. Through its integrated network of natural gas gathering, transportation, processing, and related midstream assets, they delivers reliable, innovative solutions that support producers, industrial customers, and downstream markets.

Backed by private equity ownership and driven by an entrepreneurial culture, the company is committed to disciplined growth through strategic acquisitions, infrastructure expansion, and operational excellence. Their leadership team values practical problem-solving, collaboration, and a business-minded approach to achieving long-term success.

The Opportunity

This natural gas gathering, processing and pipeline firm is seeking an experienced Assistant General Counsel to join its executive leadership team. This is an exceptional opportunity for a seasoned energy attorney to play a key role in the Company's continued growth while serving as a trusted legal and business advisor to executive management and the Board of Directors.

This position offers broad exposure to virtually every aspect of the business, including regulatory matters, commercial transactions, strategic growth initiatives, acquisitions, governance, and day-to-day legal support. The successful candidate will work closely with senior leadership and will have the opportunity to assume increasing levels of responsibility as the Company continues to expand.

Responsibilities

  • Serve as a strategic legal advisor to the executive leadership team and Board of Directors on legal, regulatory, commercial, and business matters.
  • Provide practical, business-oriented legal advice that appropriately manages risk while facilitating the Company's commercial objectives and growth initiatives.
  • Advise on federal regulatory matters, including those involving the Federal Energy Regulatory Commission (FERC).
  • Support the Company's strategic growth through acquisitions, expansion projects, and commercial initiatives.
  • Provide legal guidance related to natural gas supply arrangements, transportation agreements, and securing additional gas volumes to support business growth.
  • Draft, review, negotiate, and interpret a wide variety of commercial agreements, including transportation, gathering, processing, construction, services, confidentiality, and other operational contracts.
  • Partner closely with operations, commercial, finance, and executive leadership to resolve legal issues efficiently and proactively.
  • Assist with corporate governance matters, Board materials, and other executive-level legal responsibilities.
  • Manage outside counsel as appropriate and oversee litigation and other legal matters when necessary.
  • Monitor legal and regulatory developments affecting the natural gas pipeline industry.

Qualifications

  • Juris Doctor from an accredited law school and admission to practice law in at least one U.S. jurisdiction.
  • Approximately 10–15 years of legal experience, with substantial experience in the natural gas pipeline industry.
  • Strong knowledge of FERC regulations and federal energy regulatory practice.
  • Outstanding verbal and written communication skills, with the ability to communicate effectively with executives, Board members, business leaders, and operational personnel.
  • Experience advising pipeline companies on commercial, operational, and regulatory matters.
  • Demonstrated experience supporting mergers and acquisitions, strategic growth initiatives, or significant infrastructure projects.
  • Exceptional drafting, negotiation, and contract management skills.
  • Sound business judgment and the ability to balance legal risk with practical commercial solutions. The ideal candidate understands how to protect the Company while helping move transactions and strategic initiatives forward.
  • Ability to build trusted relationships across all levels of the organization, from field operations to executive leadership.
  • Experience working within a private equity-owned company is strongly preferred.

Why This Opportunity?

This role is designed for an attorney who wants to be more than simply legal counsel. The Assistant General Counsel will become an integral member of the Company's leadership team, helping shape business strategy while providing practical legal guidance that supports continued growth. The breadth of responsibility, executive visibility, and leadership exposure make this an outstanding opportunity for an attorney seeking to play an increasingly influential role within a growing energy company.
