Description
The Associate GC partners closely with the General Counsel to manage legal risk and oversee litigation matters across Cotton Holdings and its affiliated entities. This role is responsible for handling complex legal issues including active litigation management, dispute resolution, contract review and negotiation, regulatory compliance, corporate governance, and risk mitigation.
The Associate GC collaborates with senior leadership, outside counsel, and internal business units to protect the company's legal interests while supporting operational and growth objectives. This position plays a critical role in developing litigation strategy, ensuring compliance across multi-entity operations, and maintaining strong documentation and legal process standards.
The ideal candidate brings strong construction/restoration industry awareness, experience managing outside counsel, and the ability to balance strategic legal guidance with practical business solutions in a fast-paced, high-growth environment.
What You'll Do
Legal Advisory & Support
  • Provide legal counsel to internal stakeholders on a wide range of operational, regulatory, and corporate issues
  • Review, draft, and negotiate complex contracts, including client agreements, vendor contracts, NDAs, service agreements, and licensing documents
  • Support the General Counsel in managing corporate governance practices, legal policies, and compliance frameworks
  • Conduct legal research, interpret statutes and regulations, and provide guidance on the impact of legal changes on Cotton operations
  • Assist with mergers, acquisitions, corporate transactions, and related due diligence tasks

Litigation Management
  • Oversee litigation matters handled by outside counsel, including strategy, filings, discovery, and settlement discussions
  • Support internal teams in collecting information, responding to subpoenas, and preparing legal documentation
  • Review budgets, invoices, and performance of outside counsel and other legal vendors

Compliance & Risk Support
  • Support company-wide compliance efforts, including licensing, regulatory filings, documentation, and audits
  • Work collaboratively with the Risk Department on matters involving insurance, liability, risk exposure, and regulatory compliance
  • Ensure legal risk assessments are integrated into major business initiatives

What You Bring to the Table
  • Minimum of 7-10 years of legal experience, including significant in-house counsel experience preferred
  • Strong background in commercial contracting, corporate governance, and regulatory matters
  • Experience managing litigation or coordinating with outside counsel
  • Experience supervising legal staff or leading operational processes within a legal function is preferred
  • Experience in construction, restoration, industrial services, or related industries is beneficial
  • Strong legal drafting, negotiation, and analytical skills
  • Ability to identify risks, interpret complex regulations, and provide sound legal advice
  • Ability to manage multiple priorities and deadlines in a fast-paced environment
  • Excellent communication and interpersonal skills, including the ability to explain legal concepts to non-lawyers
  • Proficiency with legal technology, contract management systems, and Microsoft Office
  • Strong organizational and decision-making abilities

Education:
  • Juris Doctor (JD) from an accredited law school required
  • Active license to practice law in Texas
  • Licensed to practice in Texas or ability to become licensed within a defined timeframe
