Our heritage, scale, comprehensive offering, deep US/English law bench and fully integrated global network make us a first choice for complex cross-border capital markets matters. We cover the full spectrum of securities products: debt and equity capital markets, high yield, structured finance and derivatives, securitization, and corporate trust. What sets us apart is our history of delivering groundbreaking capital markets advice in mature and growth markets, which translates to fresh thinking and original solutions. Over many years, we have built up considerable institutional knowledge, advising on thousands of securities transactions around the globe.
Position Summary
We are seeking a mid-level Associate with significant US equity capital markets experience , including IPOs, follow-on offerings, de-SPAC transactions, PIPEs, ATMs and corporate governance, to join our growing Capital Markets practice in New York, where we have added two partners just within the past year. This role offers the opportunity to work on a broad range of sophisticated domestic and cross-border equity and debt capital markets transactions, advising issuers, underwriters, investors and financial institutions on high-profile matters.
Associates in our group gain meaningful responsibility, work directly with partners and clients, and gain exposure to sophisticated transactions across industries and across jurisdictions. Our team values collaboration, excellence and professional development, and fosters a supportive, in-person office culture that encourages learning, mentorship and long-term career growth within a top-tier global practice.
Duties and Accountabilities
  • Advise public and private companies, underwriters and financial institutions on a wide range of capital markets transactions, including IPOs, registered follow-on and secondary offerings, SPAC IPOs, de-SPAC transactions, direct listings, private placements, PIPEs, ATM programs and other securities transactions.
  • Draft, review and negotiate transaction documentation, including registration statements, prospectuses, underwriting agreements, securities purchase agreements and offering memoranda.
  • Support public company clients with ongoing SEC reporting and disclosure matters, including periodic reports, current reports, proxy materials and SEC comment responses.
  • Take ownership of key aspects of transactions, managing drafting processes and coordinating execution with partners, clients, opposing counsel and internal teams.
  • Work on capital markets-adjacent M&A and strategic transactions, including tender and exchange offers, acquisitions, divestitures, business combinations, joint ventures and strategic collaborations.
  • Collaborate closely with colleagues across finance, tax, regulatory, intellectual property and M&A practices to deliver integrated, business-focused solutions.
  • Develop into a trusted advisor by gaining a strong understanding of both the legal and commercial aspects of transactions.
  • Contribute to the firm's thought leadership in writing client alerts and submitting comment letters on SEC proposals.
  • Salary Range: $310,000 - $390,000

Qualifications
  • Juris Doctor (JD) degree (or LL.M./foreign equivalent) from an accredited law school.
  • Admission to the New York Bar (or eligibility to become admitted) and in good standing.
  • Approximately 4+ years of relevant law firm or in-house transactional experience.
  • Experience advising on equity and/or debt capital markets transactions.
  • Strong drafting, analytical and negotiation skills.
  • Familiarity with SEC reporting and disclosure requirements for public companies.
  • Commercial awareness and ability to see the broader business context.
  • Strong communication, organization and time-management skills.
  • Ability to manage multiple matters efficiently and perform well under pressure.
