A highly regarded, nationally recognized law firm is seeking a Corporate Associate Attorney (3โ€“5 yearsโ€™ experience) to join its sophisticated Capital Markets practice in the New York office. This is an exceptional opportunity to work alongside leading practitioners on complex, high-profile transactions representing issuers, underwriters, and financial institutions across a broad spectrum of industries.
Position Overview
The ideal candidate will have substantive experience handling a wide range of capital markets transactions, including both registered and unregistered debt and equity offerings, as well as liability management transactions. Candidates should be comfortable operating in a fast-paced, team-oriented environment and contributing meaningfully to transaction execution and client strategy.
Key Responsibilities
  • Represent issuers, underwriters, and financial institutions in public and private securities offerings
  • Draft and negotiate offering documents, underwriting agreements, indentures, and ancillary transaction materials
  • Advise clients on SEC reporting and disclosure obligations
  • Assist with liability management transactions, including exchange offers, tender offers, and consent solicitations
  • Conduct due diligence and coordinate transaction execution across multidisciplinary teams

Qualifications
