Corporate Associate Attorney – Seattle, WA

Direct Counsel is seeking a Corporate Associate Attorney to join a prestigious Am Law 100 law firm in Seattle.

This is an excellent opportunity for a talented corporate attorney with 2–4 years of experience to work on sophisticated transactions alongside a nationally recognized corporate practice. The ideal candidate will have significant experience handling mergers and acquisitions, venture capital financings, or both, and will be looking to further develop their practice in a collaborative, high-performing environment.

Responsibilities
  • Assist with and manage complex corporate transactions, including mergers and acquisitions, venture capital financings, and other strategic business transactions.

  • Conduct legal research and analysis to support transaction strategy, structuring, and execution.

  • Draft, review, and negotiate transaction documents, corporate governance materials, and related agreements.

  • Participate in client meetings, negotiations, due diligence reviews, and transaction closings.

  • Build and maintain strong relationships with clients while providing practical business-oriented legal advice.

  • Collaborate with attorneys across multiple practice groups to deliver comprehensive solutions to clients.

  • Monitor legal and regulatory developments affecting corporate transactions and business operations.

  • Contribute to business development initiatives, firm programs, professional organizations, and pro bono efforts.

Qualifications
  • J.D. from an accredited law school with a strong academic record.

  • Admission to practice law in Washington, or ability to become admitted promptly.

  • 2–4 years of corporate transactional experience.

  • Experience with mergers and acquisitions and/or venture capital financings.
