A premier AmLaw 50 firm is seeking a Private Investment Funds Associate Attorney to join its Boston office.

This opportunity is ideal for an attorney interested in representing private equity sponsors, venture capital firms, investment managers, and institutional investors in sophisticated private fund formation and investment management matters.

Ideal Background
  • 4-6 years of private investment funds experience gained at a national or international law firm
  • Experience representing domestic and international private equity funds, venture capital funds, investment managers, and private fund sponsors
  • Experience structuring, forming, and operating private investment funds throughout the fund lifecycle
  • Experience drafting and negotiating limited partnership agreements, operating agreements, subscription agreements, side letters, private placement memoranda, management agreements, and other fund documentation
  • Experience advising clients on fund governance, fundraising, regulatory compliance, and ongoing operational matters
  • Experience supporting private equity and venture capital financings, acquisitions, restructurings, co-investments, continuation funds, and alternative investment structures
  • Ability to independently manage significant components of sophisticated transactions while collaborating effectively on larger deal teams
