A leading regional law firm is seeking a Debt Finance and Restructuring Attorney with approximately 4โ€“7 years of substantive transactional experience to join its Portland office.
The position may be structured at the Associate or Counsel level depending on experience. The successful candidate will advise a diverse mix of lenders, borrowers, investors, and businesses in financing transactions ranging from traditional bilateral credit facilities to sophisticated acquisition, syndicated, asset-based, and cross-border financings.
This is an excellent opportunity for an attorney who enjoys structuring transactions, drafting and negotiating complex credit documents, and managing deals from the initial term sheet through closing. The role also provides exposure to workouts, restructurings, and distressed situations, although prior restructuring or bankruptcy experience is not required.

Key Responsibilities
Represent lenders and borrowers in secured and unsecured financing transactions.
Structure, document, negotiate, and close bilateral and syndicated credit facilities.
Handle asset-based lending, cash-flow financing, acquisition financing, mezzanine financing, and receivables financing transactions.
Draft and negotiate credit agreements, commitment letters, term sheets, security agreements, guarantees, intercreditor agreements, promissory notes, collateral documents, and closing deliverables.
Conduct and manage due diligence involving organizational documents, material contracts, existing indebtedness, liens, collateral, and regulatory considerations.
Coordinate transaction closings and manage communication among clients, opposing counsel, financial institutions, local counsel, and other participants.
Advise clients regarding amendments, waivers, refinancings, incremental facilities, and other modifications to existing credit arrangements.
Assist with cross-border financing transactions and matters involving multiple jurisdictions.
Advise lenders and borrowers in workouts, restructurings, forbearance arrangements, distressed financings, and enforcement-related matters.
Collaborate with attorneys across corporate, mergers and acquisitions, bankruptcy, real estate, tax, and regulatory practices.
Manage multiple active transactions while maintaining excellent responsiveness and attention to detail.
Take a leading role in transactions and serve as a trusted point of contact for clients.
Mentor junior attorneys and contribute to the development of the finance practice, where appropriate.
Qualifications
Approximately 4โ€“7 years of substantive transactional experience.
Significant experience concentrated in debt finance is strongly preferred.
Proven ability to structure, document, negotiate, and manage financing transactions from term sheet through closing.
Experience with several of the following:
Secured and unsecured credit facilities
Asset-based lending
Acquisition financing
Syndicated lending
Mezzanine financing
Receivables financing
Cross-border financing
Amendments and refinancings
Workouts and restructurings
Experience representing lenders, borrowers, or both.
Strong drafting, negotiation, analytical, and project-management skills.
Excellent attention to detail and the ability to coordinate complex closings.
Practical business judgment and strong client-service abilities.
Experience with restructuring, workouts, insolvency, or bankruptcy matters is desirable but not required.
Broader corporate or commercial transactional experience may be considered where the candidate demonstrates a genuine interest in building a debt finance practice.
Maine Bar admission is preferred. Candidates able to obtain admission promptly may also be considered.
