SyndicationCounsel LLC is a boutique, fully-remote law firm that helps next-generation forward-thinkers legally raise and manage investor capital so that they can scale beyond their own checkbook and avoid costly mistakes.
We need a seasoned corporate and securities lawyer who can assume responsibility for current client relationships, structuring, documenting, and advising investment partnership formation and exempt securities offerings.
The ideal candidate has demonstrated mastery of multi-member, multi-class LLC mechanics (including Operating Agreements, amendments, written actions, joinders, unit ledgers, and transfers) and is fluent in Regulation D (Rule 506(b)/(c)), accredited investor standards, and related federal and state securities compliance. This role demands strong responsiveness and deadline ownership, meticulous quality control, early escalation when facts or scope change, and a practical, solutions-oriented mindset that improves Firm policy, procedures, and templates over time.
Compensation:$120,000

We hire experience and expertise, narrowly tailoring our practice focus to do what we do best: helping next-generation forward-thinkers break barriers to capital formation. We offer sophisticated but personable legal advice and fee transparency, which has led to our Firm doubling revenue every year since starting in 2023.
What we are unable to match in BigLaw comp, we more than make up for in autonomy, work hour flexibility, and compensation transparency, offering a modest base comp with bonus comp tied to well-defined targets that payout quarterly.
