What You'll Do:
You'll provide legal counsel to internal business stakeholders on routine and complex commercial matters, with an emphasis on commercial, technology, and transactional agreements.
You're adaptable, comfortable with an evolving business environment, and approach opportunities with a positive and solution-oriented mindset.
This role reports to the Director, Assistant General Counsel (Commercial).
Primary Duties and Responsibilities:
To perform this job successfully, an individual must be able to perform each primary duty satisfactorily.
  • Review, draft, and negotiate a wide range of commercial agreements and vendor procurement contracts including technology agreements such as SaaS, software licenses, hardware and technology-related professional services.
  • Assist with the confidentiality program, including negotiating NDAs.
  • Support and administer certain policies and procedures for the commercial legal team, including associated controls.
  • Conduct legal research and provide analysis on various commercial legal topics.
  • Collaborate with team members and cross-functional stakeholders such as strategic sourcing, third-party risk management, and security to address legal matters affecting the business.
  • Assist senior attorneys with projects, research, and legal counseling.
  • Perform other duties as required.

Qualifications:

  • [Required] 3-5 years of relevant commercial legal experience in-house or at a law firm.
  • [Required] Ability to promptly produce high-quality, accurate, and detailed work product.
  • [Required] Ability to quickly identify and assess issues and escalate to senior attorneys as appropriate.
  • [Required] Excellent analytical and problem-solving, interpersonal, communication, and collaboration skills, including strong writing skills.
  • [Preferred] In-house experience with SaaS, software license, AI, hardware and professional services procurement and/or customer facing contracts.
  • [Preferred] Experience working with regulatory agencies or regulated financial institutions.
  • [Preferred] Familiarity with securities and commodity laws and regulations.

Technical Skills:
  • [Required] Microsoft Office Suite, Legal research and reference tools, collaboration and communication platforms
  • [Preferred] CLM and legal operations tools, AI assisted tools

Education and/or Experience:
  • [Required] JD degree and active bar membership
  • [Required] Bachelor's degree from accredited college or university

Compensation
  • The salary range listed for any given position is exclusive of fringe benefits and potential bonuses. If hired at OCC, your final base salary compensation will be determined by factors such as skills, experience and/or education.
  • In addition, we believe in the importance of pay equity and consider internal equity of our current team members as part of any final offer.
  • We typically do not hire at the maximum of the range in order to allow for future and continued salary growth. We also offer a substantial benefits package as noted on www.theocc.com/careers
  • All employees may be eligible for a discretionary bonus. Discretionary bonuses are based on various factors, including, but not limited to, company and individual performance and are not guaranteed.

Salary Range
$119,700.00 - $182,600.00
Incentive Range
8% to 15%
This position is eligible for an annual discretionary incentive compensation award, for which the target range is listed above (see Incentive Range). The amount of such award, if any, will be based on various factors, including without limitation, both individual and company performance.
