Mid-Level Corporate Associate Attorney (Denver)
Experience Level: Midlevel Associate

Direct Counsel is seeking a Mid-Level Corporate Associate to join a national AmLaw firm in its Denver office. This role supports a busy and growing M&A and private equity practice and offers exposure to a broad range of sophisticated corporate transactions.

Overview
The ideal candidate will have 3–5 years of corporate transactional experience, with a focus on public and/or private company M&A and related corporate matters. Experience with private equity transactions, transactional energy or infrastructure work, and capital markets–related M&A is highly desirable. This position is well-suited for an associate with strong drafting skills, sound business judgment, and the ability to manage client relationships effectively.

Key Responsibilities

  • Support and execute public and private company M&A transactions

  • Draft and negotiate acquisition agreements and related transaction documents

  • Assist with private equity transactions and related corporate matters

  • Advise clients on transactional energy, infrastructure, and capital markets–related M&A matters, as applicable

  • Manage transaction workflows and timelines from diligence through closing

  • Collaborate with partners and deal teams to deliver high-quality client service

  • Maintain regular communication with internal teams and external clients

Qualifications

  • JD from an accredited law school with excellent academic credentials

  • 3–5 years of corporate transactional experience, including M&A

  • Strong working knowledge of acquisition agreements and ancillary deal documentation

  • Prior experience at a large regional, national, or international law firm preferred

  • Exceptional interpersonal, communication, and organizational skills

  • High degree of professionalism, maturity, and business acumen

Compensation

  • Competitive compensation commensurate with experience

  • Colorado pay range: $260,000–$365,000, depending on qualifications and experience
