The M&A Transaction Services team provides M&A transaction due diligence for new and add-on targets. The primary function of the Vice President, M&A – Corporate Risk is to provide merger and acquisition due diligence and auditing services in the areas of property and casualty insurance.

OBJECTIVES AND ESSENTIAL JOB DUTIES:

  • Lead due diligence projects (mainly for add-ons)
  • Manage data rooms and procure necessary information to complete CORs/Exposure workbooks
  • Communicate internally with brokers, client service teams and M&A team members, externally with private equity firms, target companies or their representatives, insurers
  • Analyze data
  • Work with service teams on add-on due diligence to secure additional premiums and formulate plan for close
  • Market/broker smaller platform M&A assignments
  • Write due diligence reports (mainly for add-ons)
  • Communicate with private equity clients and on occasion Target, diligence findings and plan for post-close insurance program
  • Effectuate strategy (procure outstanding information, finalize quotes, secure BOR, if necessary)
  • Coordinate hand-off and introduction to service team
  • Assist with preparation of proposals and/or stewardship reviews as required
  • Some travel may be required
  • Develop and train junior team members as needed
  • Other duties as assigned

Requirements:

EDUCATION and/or EXPERIENCE:

  • Minimum of 5 to 10 years of relevant work experience
  • Property & Casualty license or willingness to obtain
  • Bachelor’s Degree of Art or Science
  • Ability to manage multiple diligence projects simultaneously
  • Knowledge and experience with corporate insurance
  • Project management – coordinate activities and information flow from multiple sources within specified time frame
  • Detail orientation, but ability to draw conclusions and see big picture
  • Communication (written and oral) – ability to communicate well and at the appropriate level with a wide range of people
  • Ability to perform under stress/tight time frames
  • Ability to develop relationships/build confidence of others (both internally and externally) based upon work performed
  • Basic understanding of financial statements
  • Strong verbal and written communication skills
  • Results oriented.
  • Proficient in Microsoft Office suite
