Description

JOB SUMMARY:

This position is for an attorney to manage legal issues and coordinate compliance in unregulated business subsidiaries including support of project development and construction, day to day management of legal issues and contracting process -- could also include managing litigation matters. This role will assist the PowerSecure, Inc. legal department on how best to manage legal demands of the company as well as help the business leaders assess risk, then advise on mitigation strategies.

MINIMUM QUALIFICATIONS: (EDUCATION, EXPERIENCE, KNOWLEDGE, AND SKILLS):

  • Juris Doctor (JD) Degree Required

  • Current state license (in good standing) to practice law in North Carolina or another state

  • Minimum 7 years legal experience with strong preference of experience in (i) equipment supply, procurement, or construction contracts, (ii) project development, (iii) manufacturing, or (iv) in the energy industry

  • Experienced with negotiating and drafting commercial contracts

  • Experience managing other attorneys and legal teams

  • Ability to review, draft, negotiate and advise on a broad range of commercial contracting matters

  • Excellent written and verbal communication

  • Able to work effectively with all levels of organization

  • Excellent organizational and time management skills

  • Demonstrates initiative and can prioritize work

  • Able to handle confidential and sensitive information appropriately

  • Independent worker and problem solver

JOB DUTIES AND RESPONSIBILITIES:

  • Primary legal support for day-to-day PowerSecure legal issues

  • Support contract formation and negotiation through all stages and contract types (e.g., purchase agreements, equipment, procurement and construction agreements, long term service agreements, warranty and operational matters, capital lease structures, confidentiality agreements, and purchase orders)

  • Support business development team through all stages of strategic operations including acquisition, development and joint venture activities.

  • Support miscellaneous contract interpretation and implementation questions

  • Review, draft, negotiate, and interpret power purchase agreements and similar energy sales contracts

  • Assist with legal support for partnership and joint venture administration, governance, and other legal issues arising out of partnerships

  • Support for compliance function

  • Assist with identifying contract obligations, ensure proper implementation and interpretation of obligations are correct, retention and management of contracts as well

  • Support internal board functions and organizational compliance effort

WORKING CONDITIONS:

  • This position is hybrid

  • Occasional travel may be required for training or meetings

  • Must be able to work flexible hours to accommodate different time zones (Central/Eastern/Mountain/Pacific), if necessary.

  • Be flexible for after-hours tasks, as needed
