About the Role
Direct Counsel is partnering with a leading Am Law firm to identify a mid-level corporate associate with experience advising emerging companies and venture capital investors. This role offers the opportunity to work with innovative startups and high-growth companies across their full lifecycle—from formation through exit—within a collaborative, national platform.

Key Responsibilities

  • Advise emerging companies and venture capital investors on a broad range of corporate and transactional matters
  • Draft and negotiate venture financing documents, including term sheets, convertible notes, and NVCA-based agreements
  • Provide guidance on corporate governance matters, including board and shareholder issues
  • Support mergers and acquisitions, joint ventures, and other strategic transactions
  • Conduct due diligence and assist with deal execution and closings
  • Serve as outside corporate counsel to early-stage and growth-stage companies
  • Manage relationships with clients, opposing counsel, and internal stakeholders

Qualifications

  • 3–5 years of relevant corporate experience, including emerging companies and venture capital work
  • Experience with venture financings and startup advisory matters
  • Strong academic credentials
  • Excellent drafting, research, and analytical skills
  • Strong communication and client management abilities
  • Ability to manage multiple matters in a fast-paced, team-oriented environment

Requirements

  • J.D. from an ABA-accredited law school
  • Licensed or eligible to practice law in the applicable jurisdiction
  • Ability to work in-office at least three business days per week

Compensation & Benefits
In certain markets, including Century City, the expected salary range is $260,000 – $365,000, commensurate with experience and qualifications. Compensation may vary by location.
