Job description

Direct Counsel is seeking a Mid-to-Senior Level Corporate Associate with 4–8 years of experience to join a rapidly growing Private Investment Funds practice. This position is ideal for an experienced corporate attorney with a strong background in venture capital or private equity fund formation, fund counseling, and related corporate and securities matters.

The associate will serve as a core member of a sophisticated funds team focused on the formation, structuring, and ongoing representation of venture funds, venture studios, incubators, accelerators, and crypto-related investment funds.

Responsibilities
  • Advise sponsors and investment managers on the formation and structuring of private investment funds.
  • Represent venture capital and private equity funds throughout their formation and ongoing operations.
  • Advise venture studios, incubators, accelerators, and crypto-related funds.
  • Draft, review, and negotiate sophisticated fund formation and investment management documents.
  • Counsel clients regarding ongoing fund governance, operations, and regulatory considerations.
  • Advise on applicable corporate and securities laws and regulations.
  • Assist clients with fund structuring and organizational matters.
  • Work directly with sophisticated fund sponsors, managers, investors, and other stakeholders.
  • Collaborate with attorneys across corporate and related practice areas on complex investment matters.
Qualifications
  • 4–8 years of relevant corporate experience.
  • Extensive experience with VC and/or PE private investment fund formation and counseling.
  • Strong knowledge of relevant corporate and securities regulations.
  • Experience advising private investment funds throughout their formation and ongoing operations.
  • Superior academic credentials and top-tier professional experience.
  • Excellent drafting, analytical, oral, and written communication skills.
  • Strong interpersonal and teamwork abilities.
  • Entrepreneurial, self-motivated, and comfortable taking significant responsibility for sophisticated matters.
  • Must be admitted in the jurisdiction of the applicable office or eligible to sit for or waive into the next available bar examination.
Compensation & Benefits
  • Base Salary: $310,000–$445,000, depending on experience, qualifications, credentials, and location.
