Intellectual Property Transactions Associate Attorney (Technology & Brand Focused)

Direct Counsel is seeking an Intellectual Property Transactions Associate Attorney with 3–5 years of experience to join a leading global law firm and its highly regarded Intellectual Property Transactions practice.

Position Overview

The ideal candidate will have strong experience in intellectual property transactions, technology licensing, and related commercial matters, with an interest in advising clients at the intersection of intellectual property, technology, innovation, and business strategy. This is an excellent opportunity to work with sophisticated private equity firms, strategic investors, technology companies, consumer brands, and global market leaders.

Responsibilities
  • Advise private equity firms, technology and software companies, consumer brands, and other sophisticated clients on transactions involving intellectual property, technology, data, and brand assets.

  • Lead and support complex M&A, joint ventures, strategic collaborations, carve-outs, divestitures, and investment transactions.

  • Draft, review, and negotiate purchase agreements, intellectual property licenses, assignments, software and cloud services agreements, and trademark-related agreements.

  • Counsel clients on intellectual property and technology issues arising in product launches, digital transformation initiatives, e-commerce, advertising, media, and entertainment transactions.

  • Advise clients regarding artificial intelligence use and deployment and related intellectual property and technology considerations.

  • Provide practical guidance on trademark, copyright, patent, and data rights, including commercialization strategies and risk assessment.

  • Work with multidisciplinary teams to address complex legal and business issues for clients in technology-driven and consumer-facing industries.

  • Manage multiple sophisticated matters and priorities in a fast-paced practice.

Qualifications
  • 3–5 years of relevant experience in intellectual property transactions, technology licensing, or a related practice at a leading law firm.

  • Demonstrated experience drafting and negotiating complex license agreements and commercial agreements involving technology, software, data, and brand assets.

  • Strong understanding of intellectual property and technology transactions.

  • Experience with M&A, joint ventures, strategic collaborations, carve-outs, divestitures, or investments preferred.

  • Experience advising clients in technology, software, consumer retail, media, or related industries preferred.

  • Proficiency in using AI technologies responsibly and ethically.

  • Superior written and verbal communication skills, including the ability to explain complex legal concepts clearly to clients.

  • Excellent interpersonal and client service skills.

  • Strong organizational and project management abilities.

  • Ability to thrive in a dynamic, high-volume environment while managing multiple priorities.

  • J.D. from an accredited law school or equivalent.

  • Admission to practice in the relevant jurisdiction(s) required.

Compensation

The anticipated salary range for this position is $260,000–$365,000 annually, depending on qualifications, experience, and other relevant factors.
