Job description

We are seeking an M&A Tax Senior Associate to support buy-side and sell-side transaction tax advisory engagements. The role focuses on U.S. federal and state tax diligence in middle-market M&A, with exposure to structuring, modeling, and transaction execution support.
The ideal candidate has experience supporting/leading tax diligence workstreams, participating in client calls, preparing tax analysis, and working on transaction-related federal and state tax issues in a deal environment.
Key Responsibilities
  • Support M&A tax diligence engagements across buy-side and sell-side transactions
  • Participate in and help run client and target management calls focused on tax diligence topics
  • Perform analysis of U.S. federal and state tax implications in transactions
  • Assist in preparing tax diligence reports and internal/client-facing deliverables
  • Build and support transaction tax models.
  • Evaluate federal income tax consequences of transaction structures, including entity classification and timing issues
  • Support review of state and local tax (SALT) exposure, including nexus, apportionment, and filing obligations across jurisdictions
  • Identify and document state tax risks, including historical non-compliance, audit exposure, and uncertain tax positions
  • Coordinate with senior team members on technical tax issues and deal execution support.

Qualifications
  • CPA or JD/LLM
  • 2-3+ years of experience in:
    • M&A tax advisory
    • Transaction tax diligence
    • Public accounting or equivalent advisory environment
  • Familiarity with SALT diligence across state income/franchise tax, sales & use tax, employment/payroll tax, property tax, and unclaimed property exposure, including nexus, apportionment, filing footprint analysis, compliance gaps, and state conformity to federal transaction elections (including 338(h)(10)).

Candidate must be able to submit verification of his/her legal right to work in the United States, without company sponsorship.

Salary Range: $80,000 to $135,000 per year.
