Job description

Securitization Finance Associate Attorney

Location: Charlotte, Chicago, or New York (Open to other U.S. office locations including Houston, Los Angeles, Palo Alto, San Francisco, Salt Lake City, and Washington D.C.)

Direct Counsel is seeking an Associate or Counsel with 4+ years of structured finance and securitization experience to join a prestigious Am Law 100 firm. The successful candidate will focus on lender-side private warehouse and trade receivables financings, with the opportunity to participate in cross-border and off-balance sheet structuring.

Key Responsibilities
  • Represent banks, funds, and financial institutions in structured finance transactions, with a focus on trade receivables securitizations.

  • Handle transactions involving trade-related assets, such as inventory, trade credit insurance, and ABCP funding.

  • Work on cross-border deals, including global trade A/R financings, and develop intercreditor arrangements.

  • Provide strategic advice on off-balance sheet structuring for GAAP and IFRS compliance.

  • Anticipate participation in a variety of structured financings involving different types of financial assets.

Qualifications
  • Education: J.D. from a top-tier law school.

  • Experience: 4+ years of experience in structured finance and securitization, with a preference for experience in lender-side private warehouse and trade receivables financings.

  • Deal Sheet: Please include a deal sheet with your application. Relevant experience is prioritized over class year.

  • Skills: Strong academic credentials, excellent legal writing and negotiation skills, and the ability to handle complex finance transactions.

  • Salary Range: $310,000 โ€“ $435,000 (compensation may vary based on experience, skills, and firm policies).
