Direct Counsel represents a prestigious AmLaw firm seeking a Tax-Exempt Organizations / Nonprofit Associate Attorney with 3–6 years of experience to join its Tax Practice Group. This position is open in the following office locations:

This opportunity offers the chance to work with nationally recognized nonprofit, charitable, philanthropic, healthcare, and tax-exempt organization clients.

Responsibilities:

  • Advise nonprofit and tax-exempt organizations on federal tax-exemption requirements and compliance matters
  • Counsel clients on nonprofit governance, board practices, conflicts of interest, executive compensation, and organizational policies
  • Assist with obtaining and maintaining tax-exempt status
  • Advise on private foundation rules, UBIT, excess benefit transactions, and Form 990 reporting requirements
  • Structure relationships between nonprofit and for-profit entities
  • Support nonprofit mergers, reorganizations, dissolutions, and other strategic transactions
  • Conduct legal research and prepare memoranda, opinions, and client communications
  • Collaborate with attorneys across tax, healthcare, corporate, and private client practice groups

Qualifications:

  • Juris Doctor (JD) from an accredited law school
  • 3–6 years of tax-exempt organizations and nonprofit law experience
  • Significant experience with tax-exempt organization compliance and nonprofit governance matters
  • Strong legal research, writing, analytical, and communication skills
  • Ability to manage multiple matters and work independently when appropriate
  • Strong attention to detail and organizational skills
  • Team-oriented mindset with excellent interpersonal skills
  • Licensed and in good standing with the bar in the applicable jurisdiction
