Job description
This role helps the CEO and executive leadership team translate corporate, operational, customer, Board, and value creation priorities into clear initiatives, accountable owners, milestones, and measurable outcomes. Responsibilities include coordinating and preparing executive level briefings and materials for Board meetings, generating and maintaining metrics dashboards, preparing decision materials and strategic analyses, tracking enterprise initiatives, identifying emerging risks, and improving communication and follow-through across business units and corporate functions. The Director will also play an intricate part in the company's corporate development and M&A activities by supporting target evaluation, diligence, financial analysis, transaction material preparation, and post-close integration. This role will generally support, and coordinate M&A activities rather than independently own every transaction from origination through closing.
This position is highly visible and cross-functional. It requires the ability to understand complex business issues quickly, organize senior stakeholders, prepare clear recommendations, manage sensitive information, and ensure that important decisions are implemented effectively.
The ideal candidate will combine:
- A history of supporting C-Suite and executive teams with complex and sensitive information and material preparation in support of strategic initiatives and reporting requirements
- Deep familiarity with defense, aerospace, intelligence, homeland-security, and national-security ecosystems.
- Being highly trusted, analytically strong, and execution-oriented with proven ability to work effectively at both the strategic and operational levels.
- Ability to be comfortable with ambiguity, able to influence without direct authority, and capable of communicating with executives, P&L leads, Board members, advisors, and government-oriented stakeholders.
- A practical, data-driven approach to value creation, M&A support, process tracking, and task management.
Key Responsibilities:
Executive Support to the CEO
- Serve as a trusted thought partner and execution partner to the CEO.
- Help the C-Suite manage and advance the company's highest-priority strategic and operational initiatives.
- Translate CEO, executive leadership, and Board priorities into clear workplans, owners, milestones, and decision points.
- Establish systems to track progress against key initiatives and ensure timely follow-through.
- Prepare agendas, briefing materials, presentations, decision memos, and follow-up communications for executive leadership and Board meetings.
- Coordinate preparation for Board meetings, advisor meetings, lender presentations, strategic planning sessions, annual planning, and operating reviews.
- Work with executive team members to ensure that decisions are clearly communicated and implemented across the organization.
- Identify emerging issues, dependencies, and risks that require CEO or executive-team attention.
- Conduct fact-based analyses and develop recommendations on strategic, operational, organizational, and financial topics.
- Support the CEO in preparing for important customer, employee, Board, government, and partner engagements.
- Drive cross-functional projects that require coordination across multiple business units or corporate functions.
- Maintain appropriate confidentiality and discretion regarding transactions, financial performance, personnel matters, customer relationships, legal issues, and advisor communications.
- Help improve the cadence, quality, and effectiveness of executive-team communication and decision-making.
Strategic Planning and Enterprise Growth
- Support the COO and BD in the development and execution of the company's annual operating plan and longer-term strategic plan.
- Coordinate strategic reviews of markets, customers, technologies, capabilities, and competitive positioning.
- Track key enterprise initiatives and value-creation priorities sponsored by the CEO and Board.
- Prepare analysis related to growth opportunities, organizational effectiveness, operating performance, capital allocation, and resource prioritization.
- Support enterprise-wide performance reviews by consolidating information, identifying trends, and highlighting decisions required.
- Assist the CEO and COO in evaluating organizational structure, leadership priorities, and cross-business-unit opportunities.
- Develop repeatable processes for tracking action items, strategic commitments, and key decisions.
Corporate Development and M&A Responsibilities
- Maintain and update the acquisition pipeline in partnership with the C-Suite.
- Establish a repeatable model to maintain an acquisition pipeline to support growth objectives.
- Translate each acquisition thesis into measurable pre-close synergy and value-creation plans.
- Support the screening and evaluation of potential acquisition targets.
- Prepare initial company profiles, market analyses, strategic-fit assessments, and target summaries.
- Build and review financial models, valuation analyses, and transaction scenarios.
- Support analyses using discounted cash flow, comparable-company, precedent-transaction, accretion/dilution, and LBO methodologies.
- Coordinate internal and external diligence workstreams and maintain transaction schedules, issue logs, and decision trackers.
- Partner with finance, legal, operations, human resources, information technology, and security teams throughout diligence and transaction execution.
- Manage the flow of information among management, advisors, lenders, legal counsel, accounting firms, and tax advisors.
- Prepare materials for CEO, executive leadership, and Board for investment discussions.
- Support management presentations, target meetings, indications of interest, letters of intent, and transaction approvals.
- Assist with data-room management, diligence request tracking, and documentation of key assumptions and risks.
- Support the CEO and CFO in evaluating transaction structure, purchase price, financing, integration costs, synergies, and downside cases.
- Coordinate with Legal and other stakeholders on defense-industry considerations, including government contracts, security clearances, export controls, intellectual property, foreign ownership and control, organizational conflicts of interest, and contract novations.
- Provide project-management support through signing and closing.
- Help develop integration plans before signing and assist execution after closing.
- Work with the Integration Management Office (IMO) to develop integration workplans, milestones, owners, and reporting routines.
- Track progress against strategic, financial, operational, customer, employee, and cultural objectives.
- Coordinate workstreams across business-unit leaders and corporate functions.
- Identify unresolved issues, execution risks, and required executive decisions.
- Support the measurement of expected revenue, cost, capability, and operational benefits.
- Help communicate integration priorities and progress to the CEO, and executive team.
International Growth
- Develop international growth strategies for allied nations and international customers including a keen understanding of unique business regulations, cultures, banking, and other applicable attributes associated with each international customer of interest.
- Examine International budget processes and forecasts to aid in strategic opportunities or risks in partnerships and acquisition targets.
- Support the CEO and BD in developing relationships with multinational defense primes, allied ministries of defense, foreign procurement organizations, and qualified international partners.
- Demonstrate familiarity with Foreign Military Sales, Direct Commercial Sales, export licensing, end-use and end-user restrictions, sanctions, and international teaming considerations, as applicable.
- Assess country, political, sanctions, export-control, foreign-influence, reputational, and customer risks.
- Coordinate with legal, security, export-control, and compliance functions before pursuing international opportunities.
First Year Priorities
During the first twelve months, the Director will be expected to:
- Establish a strong operating rhythm with the CEO and executive leadership team.
- Create a centralized process for tracking CEO priorities, Board actions, strategic initiatives, and cross-functional commitments.
- Improve the preparation and follow-up process for executive, Board, lender, and advisor meetings.
- Support the company's annual and long-term strategic planning processes.
- Develop an enterprise-level dashboard for key strategic and operational initiatives.
- Support multiple M&A activities, including target evaluation, diligence coordination, financial analysis, executive materials, and integration planning.
- Standardize M&A support tools, including target-screening templates, diligence trackers, decision memos, and integration plans.
- Build effective working relationships with COO and business-unit leads, functional leaders, and external advisors.
- Identify opportunities to improve executive-team communication, decision-making, and accountability.
- Support the CEO in advancing selected strategic or operational initiatives that may not fit within a traditional corporate development function.
Qualifications:
- Bachelor's degree in Finance, Economics, Business, Engineering, or a related field.
- 5+ years of experience in corporate development, investment banking, strategic finance, management consulting, transaction advisory, or a related role.
- Experience in aerospace, defense, government contracting, cybersecurity, intelligence, space, autonomy, robotics, communications, sensing, or related technology markets.
- Demonstrated experience preparing executive, Board, investment committee, lender, or advisor materials.
- Strong financial modeling and analytical skills.
- Experience supporting M&A transactions, due diligence, valuation, or strategic planning.
- Strong project-management skills and the ability to coordinate multiple workstreams simultaneously.
- Excellent written and verbal communication skills.
