About the Opportunity ✍️

MoonPay is looking for a Product Counsel to be the dedicated legal partner for MoonPay's expanding product suite. This is a rare, high-impact role covering two interconnected mandates: our DeFi products - DEX routing and aggregation, non-custodial wallet infrastructure, and AI-powered agent integrations - and our regulated crypto asset services, including crypto-asset exchange services, digital asset custody, stablecoin issuance, and stablecoin card services.

You will work closely with product, compliance, and regulatory strategy - advising on new features from whiteboard to launch, navigating the complex interface between MoonPay’s regulated entity footprint and decentralized protocol integrations, and building the legal frameworks that allow our teams to move fast without breaking things. 

This role demands genuine fluency across both worlds. You will be expected to develop well-reasoned, risk-calibrated views quickly, communicate them clearly, and be a true thought partner to engineering and product - not just a gatekeeper.

What you will do…

Product legal coverage

  • Serve as a primary legal partner for MoonPay's DeFi product teams, providing full product lifecycle counselling from ideation through development, launch, and iteration.

  • Advise on the legal and regulatory characterisation of DEX routing, smart order routing, and aggregation features across multiple chains and jurisdictions — including analysis of SEC, CFTC, and FinCEN frameworks.

  • Provide legal coverage for MoonPay's non-custodial wallet products, including MPC key management architecture, chain abstraction, self-custody user flows, and associated consumer protection obligations.

  • Advise on AI agent and autonomous payment integrations — including the legal treatment of agentic transaction flows, user authorisation frameworks, and the evolving regulatory landscape for AI-driven financial services.

  • Provide product legal support for the launch of digital asset services by our regulated entities — working alongside entity-specific regulatory counsel to ensure that new product features are scoped and built consistently with the licensing conditions in each market.

Regulatory navigation

  • Navigate the interface between MoonPay's licensed regulated entities — including our US money transmission licenses and NYDFS BitLicense and trust company charter — and non-custodial and decentralized product features.

  • Support business lines with products and services regulated by the Fed, OCC, SEC, CFTC, CFPB, and potentially other federal regulatory bodies, and how those products and services interact with MoonPay’s suite of decentralized products

  • Monitor and assess regulatory developments across key jurisdictions as they apply to MoonPay’s suite of products, and translate these into actionable product guidance.

  • Partner with Regulatory Affairs and contribute to MoonPay's regulatory strategy on emerging product areas, including engagement with external counsel and regulatory stakeholders where relevant.

  • Advise on the regulatory characterisation of new products, services, and asset types, as well as other regulated activities as MoonPay’s product suite expands, including analysis of whether new products require licensing modifications or new applications in existing or new jurisdictions.

Commercial and operational

  • Draft, review, and negotiate a wide range of commercial agreements supporting MoonPay’si product development: protocol integration agreements, API and SDK licences, routing and liquidity provider arrangements, and partnership documentation.

  • Advise on and draft terms of service, user disclosures, and consumer protection documentation for DeFi-facing product features.

  • Develop scalable legal review frameworks and playbooks that enable the product and compliance teams to self-serve on routine product questions.

  • Work cross-functionally with Legal, Compliance, Risk, Regulatory Affairs, and Engineering to build the internal knowledge and process infrastructure needed to support a rapidly expanding DeFi product portfolio.

What you will need…

  • JD (or equivalent) and active bar membership in at least one jurisdiction.

  • 6+ years of legal experience, including meaningful in-house experience at a crypto, DeFi, fintech, or regulated financial services company.

  • Deep, working understanding of DeFi: how DEXs and AMMs operate, what smart order routing involves, how non-custodial wallets and MPC key management work, and how smart contracts are used in protocol integrations.

  • Solid grounding in the US regulatory frameworks most relevant to DeFi products: FinCEN money transmission and MSB analysis, SEC securities regulation, CFTC commodity derivatives regulation, and NYDFS requirements for licensed entities.

  • Experience providing product lifecycle legal advice directly to engineering and product teams 

  • Excellent communications skills — the ability to deliver crisp, practical legal advice and synthesise complex regulatory constructs succinctly, especially where the law is unsettled or its application to novel technology is unclear.

  • High comfort with legal ambiguity, risk-adjusted thinking, and fast-paced environments where the right answer is not always obvious.

What would be great…

  • Experience advising on MPC, threshold signature schemes, or other non-custodial key management architectures.

  • Familiarity with AI agent architectures and the legal frameworks emerging around autonomous financial transactions.

  • Experience with on-chain protocol governance, smart contract audit processes, or open-source software licensing in a crypto context.

  • Familiarity with crypto asset custody regulation and card program legal frameworks.

  • Exposure to prediction markets, on-chain derivatives, or structured DeFi products (e.g., Polymarket, Hyperliquid, GMX, or comparable protocols).

  • Experience supporting the launch of novel regulated financial services, including licensing strategy, product scoping for regulatory compliance, and ongoing licence condition management.

  • Prior experience drafting or advising on protocol integration agreements, liquidity provider arrangements, or similar DeFi commercial documentation.
