Senior Blue Sky & Securities Paralegal (1099 Contract)
Location: Remote
Agile Legal is seeking experienced Senior Blue Sky and Securities Paralegals to join our Virtual Paralegal Services Team. This is a remote, 1099 contractor position for professionals with a strong background in private fund compliance and securities law support.
Private funds face stringent and evolving compliance obligations, and getting Blue Sky and Securities filings right is critical - not only for our clients but for the investors who depend on these funds for their livelihoods, retirements, and community impact. We take that responsibility seriously and are looking for diligent, detail-oriented, and knowledgeable paralegals to help our clients meet and exceed best practices. As a Senior Blue Sky & Securities Paralegal, you'll work directly with fund creators, securities attorneys, and law firm partners, supporting private investment offerings from launch to ongoing compliance.
Compensation: $35 - $50/hour
Here's what an ordinary day of work might look like...
  • Private Fund Blue Sky Research and Analysis - reviewing sales reports for private fund offerings (primarily 506(b) and 506(c)) and employee stock option plans, identifying applicable exemptions based on offering specifics, preparing Blue Sky charts, and preparing and filing applicable Blue Sky notice filings.
  • Prepare Blue Sky Charts with appropriate exemptions and initial and renewal filing requirements.
  • Prepare Blue Sky notice flings for all 50 states including strong understanding of CA and NY Filing requirements; strong experience with EFD filing system.
  • Strong working experience with Excel.
  • Regulation A Tier 2 Offerings - preparing fee calculations based on offering amount, preparing Blue Sky notice filings (electronic and paper filings), and managing renewals.
  • Preparing and managing Blue Sky filings, including Form D, Rule 506 exemptions, Reg D, and Reg A compliance.
  • Conducting detailed state-level Blue Sky research and assisting with filings across multiple jurisdictions.
  • Maintaining up-to-date knowledge of Blue Sky laws, SEC EDGAR filing requirements, and NASAA EFD processes.
  • Monitoring deadlines, renewals, and state-specific compliance obligations.
  • Maintaining and tracking offering-related documentation, including Private Placement Memoranda (PPMs), subscription agreements, and investor information.
  • Ensuring that all filings, procedures, and communications meet company and client compliance standards.
  • Protecting client confidentiality and following firm-approved operational policies.
  • Collaborating with internal team members and client stakeholders to ensure the timely completion of filings and projects.
  • Performing additional related duties as assigned.

What you will need to be successful
  • Specialized experience in Blue Sky and securities law, particularly with private funds and Reg D filings.
  • Familiarity with state securities regulators, EDGAR, and NASAA EFD systems.
  • Demonstrated success working in a law firm or compliance-focused environment.
  • Experience using multiple case management or compliance platforms preferred.
