As the Associate General Counsel – Transactions, you’ll play a critical role in supporting the organization’s continued growth through strategic legal guidance, transactional leadership, and partnership across a dynamic, multi-site senior living organization. Your Role:

As the Associate General Counsel – Transactions, your role includes structuring, drafting, reviewing, negotiating, and supporting a broad range of business and commercial transactions while balancing legal risk with operational and business objectives. This position partners closely with leadership and internal stakeholders to support strategic initiatives, operational growth, and transaction execution in a fast-paced environment.

What You’ll Do:

  • Draft, review, and negotiate a broad range of commercial agreements and transactional documents

  • Support debt financings, refinancings, and lender-related transactions, including review of credit agreements and related loan documentation
  • Assist with purchase agreements, management agreements, operating agreements, MSAs, NDAs, licensing agreements, guaranties, and related documentation
  • Assist with entity formation, governance-related matters, and corporate structuring initiatives
  • Provide practical legal guidance related to transaction structure, business strategy, and risk mitigation
  • Conduct and oversee legal due diligence associated with acquisitions, investments, and financings
  • Collaborate cross-functionally with operations, finance, accounting, and business leadership teams
  • Support real estate and operational agreements as needed within a multi-site senior living environment
  • Manage relationships with outside counsel, lenders, investors, counterparties, and other external stakeholders as needed
  • Manage multiple concurrent transactions and deadlines in a fast-paced setting
  • Assist with developing transaction templates, playbooks, and standardized processes to improve efficiency and consistency
  • Support post-closing integration efforts and ongoing contract alignment initiatives
  • Partner with internal and external stakeholders to ensure timely, compliant, and strategically sound transaction execution

Qualifications:

  • Juris Doctor (JD) from an accredited law school
  • 7+ years of legal experience
  • Active bar license in good standing and ability to obtain Florida corporate counsel licensure if applicable
  • Significant experience in transactional law, including commercial agreements and corporate transactions
  • Experience within a law firm, in-house legal department, or combination of both backgrounds considered
  • Strong understanding of complex commercial transactions, deal structures, and risk allocation principles
  • Advanced drafting, negotiation, analytical, and problem-solving skills
  • Ability to operate effectively in a fast-paced, evolving business environment
  • Strong communication and stakeholder management abilities
  • High level of professionalism, discretion, and sound judgment
  • Ability to manage competing priorities and multiple transactions simultaneously

Preferred Qualifications:

  • Experience supporting multi-site or growth-oriented organizations
  • Exposure to mergers and acquisitions, financings, restructurings, or complex commercial agreements
  • Healthcare, senior living, or healthcare-adjacent industry exposure is a plus, but not required
  • Practical, business-oriented mindset with the ability to balance legal and operational considerations
  • Experience working with executive leadership and cross-functional business teams
