Marathon Asset Management is seeking an experienced attorney to support and work closely with Marathon’s market leading private credit, asset-based investment team, working on site at our New York headquarters. The team focuses on investing and financing all types of assets, including commercial real estate, aircraft, ships, receivables, structured products and other asset classes.   • Primarily responsible to provide legal support for all aspects of Marathon’s asset-based lending and investment platform, with a particular focus on commercial real estate and transportation assets (aircraft, ships, etc.); strong preference will be given to candidates that have the requisite experience to provide additional support for other asset-based strategies
  • Review, draft and negotiate documentation with respect to, and provide legal and structuring advice concerning, all asset-based investments and loans, including the formation and structuring of investments, and the review and/or preparation of joint venture and partnership agreements, loan documents, term sheets, non-disclosure agreements, engagement letters and other related documentation
  • Direct involvement in, and primary legal support for, the negotiation and closing of warehouse and other back-leverage financing facilities, as well as the securitization of portfolio loans and assets.
  • Provide meaningful legal support and guidance in connection with all asset management matters, including direct involvement in, and legal support for, all loan workouts, restructurings, forbearances, foreclosures and portfolio related litigation matters
  • Coordinate and manage outside counsel, including management of legal costs; maintain relationships with outside counsel and oversee the internal approval of all legal counsel

  • Mid-Senior level attorney with 5-15 years’ experience in at least one of the following two areas: commercial real estate (financing) or transportation (financing and/or investing in aircraft, ships or other assets); experience with other secured asset-based finance areas is preferred, but not required
  • Strong desire to have direct involvement in other asset-based investment and financing strategies
  • Progressive experience in commercial real estate and/or transportation (primarily aviation and shipping) investment and finance, ideally with in-house legal experience at a multi-strategy investment manager
  • Juris Doctor degree (or equivalent), and membership in good standing with the New York State bar (or ability to waive into the New York State bar
  • Familiar with all aspects of cross-border and international asset-based investment and finance transactions, including a familiarity with issues related to taxation
  • Demonstrated ability to appropriately assess and manage legal and reputational risk, and demonstrate sound judgment in resolving such matters
  • Ability to thrive in a fast-paced, dynamic, and demanding open-office environment
  • Ability to prioritize efficiently and manage a complex, time sensitive workload
  • Excellent attention to detail and accuracy

The average salary for this role is $175,000 - $300,000 in base pay and is exclusive of any bonuses and benefits which are also part of the compensation package. The base pay offered will be determined based on your experience, skills, training, certifications and education, and in addition we will also consider internal equity and market data.
