Job description

Your Work Matters:

The Senior Corporate Counsel serves as a strategic legal advisor to the business, providing comprehensive legal support across the Company's information technology, eCommerce, data privacy, marketing, Pro and Commercial, and finance functions. Reporting to the Chief Legal Officer, this role serves as the primary legal business partner to these areas, delivering practical, business-focused counsel on legal and regulatory matters while supporting the Company's strategic objectives.

The Senior Corporate Counsel is responsible for leading the Company's data privacy program, advising on the application of federal and state privacy laws and regulations, including the California Consumer Privacy Act (CCPA), other state privacy laws, and emerging privacy and artificial intelligence regulations. This role also leads the drafting, review, negotiation, and management of complex commercial agreements, with a particular focus on technology, eCommerce, marketing, and finance-related transactions. Through close collaboration with cross-functional stakeholders, the Senior Corporate Counsel ensures legal compliance, mitigates risk, and enables business growth across multiple business units.

You'll Be Successful With:

  • Bachelor's and Law degrees
  • 7+ years of relevant experience in privacy, technology, corporate and/or retail law in a law firm or in-house legal department, with demonstrated experience supporting multiple business functions at a senior level
  • Experience with reviewing and negotiating a broad range of commercial contracts, including technology agreements (SaaS, cloud, software licensing, data processing), marketing and agency agreements, eCommerce platform agreements, and finance and commercial contracts
  • Experience with supporting eCommerce legal matters, including digital consumer law, online terms and conditions, consumer protection regulations, payment processing, and digital advertising compliance
  • Knowledge of B2B commercial matters relevant to Pro and Commercial operations, including dealer and trade program agreements, commercial sales terms, and related regulatory considerations
  • Data privacy laws, including the CCPA and state privacy laws
  • Employment-related privacy laws, such as FCRA for background checks and BIPA for biometric data
  • Strategic acumen and excellent problem-solving skills
  • Demonstrable ethics, professionalism, and integrity
  • Analytical and negotiating skills, including experience with complex commercial agreements
  • Managing multiple priorities and meeting deadlines in a fast-paced environment
  • Communication skills, both written and verbal, with the ability to translate complex legal, privacy, and technology concepts for non-legal stakeholders across IT, finance, commercial, and marketing functions
  • Strong interpersonal skills and the ability to collaborate cross-functionally with IT, eCommerce, Marketing, Pro and Commercial, Finance, and other business teams, including comfort advising and influencing senior business leaders

Your Day Will Consist Of:

  • Serving as the primary legal business partner for the IT, eCommerce, Privacy, Marketing, Pro and Commercial, and Finance functions, providing strategic, risk-based legal counsel aligned with each function's goals and objectives
  • Providing practical, risk-based legal advice on data privacy, emerging technologies, eCommerce, digital marketing, and finance-related matters across corporate and customer-facing operations
  • Interpreting and operationalizing complex regulatory and contractual requirements, translating them into clear, actionable guidance for business and technical teams
  • Reviewing and negotiating technology and data-related agreements, including SaaS, cloud services, software licensing, data processing agreements
  • Reviewing and negotiating a broad range of commercial contracts supporting IT, eCommerce, marketing, Pro and Commercial, finance, and other business functions, including vendor agreements, agency agreements, sponsorships, and indirect procurement contracts
  • Leading and managing the company's privacy program, including maintaining compliance with CCPA, state privacy laws, and other applicable data protection regulations
  • Developing and maintain privacy policies, procedures, and training programs
  • Supporting omni-channel, eCommerce, and marketing initiatives by reviewing disclosures, advertising content, digital promotions, influencer arrangements, and loyalty programs for compliance with applicable laws and regulations
  • Partnering with IT, Information Security, Marketing, eCommerce, Pro and Commercial, Finance, and other business teams to ensure legal and compliance principles are integrated into new products, services, systems, and business initiatives
  • Advising the Pro and Commercial business unit on contract structures, customer and dealer agreements, trade programs, and legal risks associated with B2B sales and commercial operations
  • Supporting the Finance function on treasury, credit, financing arrangements, financial regulatory matters, and the legal aspects of corporate financial transactions and reporting obligations
