POSITION DESCRIPTION:

We are seeking a highly skilled and business-minded Legal Counsel to join our dynamic team to support our day-to-day operations across multiple portfolios of companies as well as support M&A activities from the operations side where necessary. In this pivotal role, you will be responsible for providing strategic legal guidance on a wide range of matters critical to our growth and operations. You will draft, negotiate, and manage complex commercial agreements, including software licensing, SaaS, vendor, and partnership agreements. Your expertise will also be essential in supporting corporate governance, M&A due diligence, and navigating multi-jurisdictional legal issues. The ideal candidate is a pragmatic problem-solver who can distill complex legal concepts into practical, actionable business advice and thrive in a fast-paced, entrepreneurial environment.

KEY RESPONSIBILITIES:

Commercial & Operations Support

  • Draft, review, and negotiate commercial agreements including software licensing, SaaS agreements, and vendor contracts
  • Provide legal support for customer agreements and partnership arrangements
  • Advise on corporate governance matters and compliance issues
  • Support employment law matters and HR initiatives
  • Assist with intellectual property matters including software licensing and IP management / protection

General Corporate Support

  • Maintain corporate records and ensure compliance with corporate formalities
  • Provide legal guidance on regulatory compliance matters
  • Collaborate with business teams to identify and mitigate legal risk

REQUIRED/MINIMUM QUALIFICATIONS:

  • Juris Doctor (J.D.) from an accredited law school
  • Active admission to practice law in good standing in the United States
  • Minimum 5 years of legal practice experience, law firm or in-house
  • Exceptional drafting and negotiation skills with demonstrated ability to draft and structure complex commercial agreements
  • Strong analytical and problem-solving abilities with sound legal judgment
  • Proven business acumen and ability to provide practical, commercially oriented legal advice
  • Experience managing multiple priorities and stakeholders in a fast-paced environment
  • Excellent communication skills with ability to distill complex legal concepts for
    business audiences
  • Ability to navigate multi-jurisdictional legal issues and coordinate with international stakeholders

Technical Knowledge

  • Technology, software, and AI licensing agreements and SaaS business models
  • Commercial contracts (vendor agreements, partnership arrangements, customer
    agreements)
  • Global corporate governance and compliance frameworks
