SUMMARY

We are seeking a proactive and detail-oriented Contractor to join our dynamic legal team within the fast-paced EdTech industry. This is a contract position that offers the opportunity to work on a broad range of legal matters, supporting the organization’s mission to transform education through technology while ensuring compliance, minimizing risk, and enabling business growth. The Contractor will support a wide range of commercial and transactional matters including but not limited to customer payment processing agreements and will work across functional areas. This is a US-based, remote position reporting directly to the company’s Chief Legal Officer & General Counsel.

LOCATION

100% Remote - Anywhere within the US

RESPONSIBILITIES
  • Draft, review, and negotiate a variety of agreements, including customer payment processing, merchant, sponsor bank, SaaS contracts, vendor agreements, and partnership agreements
  • Audit existing merchant, customer, vendor and sponsor bank agreements.
  • Flag and address regulatory requirements within customer, merchant, and bank agreements.
  • Conduct legal research on emerging payment processing issues, regulatory updates, and best practices.
  • Collaborate with cross-functional teams (sales, product, engineering, HR) to provide timely legal guidance
  • Maintain accurate and organized legal records and databases
QUALIFICATIONS AND SKILLS
  • Juris Doctor (JD) from an accredited law school
  • Licensed and in good standing with at least one U.S. state bar
  • 7-10 years of legal experience, preferably in-house or with a law firm
  • Direct, hands-on drafting and negotiation experience on customer-facing payment processing / merchant / SaaS agreements.
  • Experience in or in-depth knowledge of standard contractual provisions preferably relating to provision of payment processing services, merchant agreements, and SaaS services
  • Payments/fintech transactional experience such as merchant processing agreements, ISO/payment facilitator agreements, sponsor bank, and familiarity with card network rules (PCI/DSS, KYC/AML, PSD2).
  • Sound commercial judgment on liability and indemnity terms typical to payment processing agreements, with the ability to work within pre-approved risk parameters and know when to escalate outside of them
  • Working familiarity with money transmitter licensing and BSA/AML concepts, sufficient to recognize when a contract issue is actually a regulatory issue and escalate appropriately
  • Detail-oriented, superior organizational skills
  • Ability to manage multiple projects in a fast-paced environment
  • Effective communicator with strong interpersonal skills to collaborate across departments
