THE OPPORTUNITY:

Atย  Salesloft, our Senior Commercial Counsel will be a critical member of our lean, high-impact Legal team. This is a dual-mandate role: you'll start by leading a heavy lift on maturing our privacy program, then shift focus toward commercial deal work as volume ramps into quarter-end. On a day-to-day basis, you will be responsible for the following:

  • Lead and mature the company's privacy program - policies, process, and cross-functional education - partnering closely with our General Counsel and during ramp-up to bring the program to current standard.
  • Review, negotiate, and manage to close a variety of complex commercial agreements, including sales contracts, inbound procurement engagements with vendors, master services agreements, DPAs, AI Addendums, NDAs, Statements of Work, and Order Forms.
  • Identify contractual and privacy-related risks and recommend practical, business-minded solutions.
  • Analyze and advise on issues related to AI, technology development, SaaS licensing, strategic sourcing, software integrations, partnerships, and general commercial contracting.
  • Work cross-functionally with Deal Desk, Sales, Procurement, Product, and Finance to ensure contractual terms are compliant with legal, regulatory, and company policy and risk standards - especially around end-of-quarter deal velocity.
  • Flex into adjacent legal matters as needed, including employment questions and legal operations support, as part of a small, high-trust team where versatility matters as much as depth.

WHAT WE'RE LOOKING FOR:

  • 5-7+ years of experience negotiating SaaS, software licensing, and commercial contracts - including master subscription agreements, DPAs, AI documentation, NDAs, and vendor contracts - with meaningful hands-on privacy program experience (e.g., GDPR, CCPA/CPRA, data mapping, privacy-by-design).
  • J.D. degree from an accredited law school.
  • Active membership in a United States bar,ย 
  • Background in B2B SaaS or high-growth technology companies strongly preferred, with the adaptable, self-directed mindset common among counsel who've grown up in fast-moving tech environments.
  • Excellent analytical, communication, organizational, negotiation, and drafting skills, including experience negotiating complex IP and data privacy terms with enterprise customers.
  • Excellent legal and business judgment, critical thinking, and the ability to manage multiple matters and priorities simultaneously.
  • Detail-oriented, resourceful, and energized by end-to-end ownership rather than narrow scope.
  • Experience working with enterprise-level Sales teams to meet end-of-quarter deadlines.
  • Experience with cloud-based business models and the contracting paradigms that support them.

COMPENSATION:

Base salary range: $210,000 - $220,000, plus equity and benefits. Actual compensation will depend on experience, skills, and location, and is disclosed here in accordance with state pay transparency requirements.
