Job Summary

Neumo is seeking an Associate General Counsel to serve as a senior working attorney within the Legal & Contracts function. This is a generalist in-house role for an attorney who can handle a wide range of legal matters, exercise sound judgment, and translate strategic direction into practical execution across the business. The role reports to the SVP, Legal & Contracts, who retains responsibility for overall legal strategy, department architecture, material risk decisions, and executive-level positioning. The AGC will take ownership of recurring legal work, support internal stakeholders, manage routine and moderately complex matters, and help build repeatable legal processes. The successful candidate will be practical, precise, business-oriented, and comfortable operating in a high-growth, post-merger, PE-backed environment where the legal function is being standardized and scaled.

Duties and Responsibilities
  • Serve as a primary legal point of contact for Finance, HR, Information Security, Operations, Product, Procurement, Sales, Customer Success, and leadership on recurring legal questions.
  • Provide practical legal analysis and recommendations on business, operational, customer-facing, and internal legal matters; draft legal opinions, notices, letters, internal guidance, and related documentation.
  • Review and interpret contractual obligations, customer commitments, vendor obligations, internal policies, and legal risk issues.
  • Support routine claims, disputes, demand letters, customer escalations, and pre-litigation matters; identify issues requiring escalation to the SVP or outside counsel.
Commercial, Customer & Government Contracts
  • Review and advise on customer agreements, SaaS agreements, order forms, SOWs, amendments, renewals, vendor agreements, and government contracting documents.
  • Support review of public-sector customer paper, including RFP terms, flow-down provisions, data requirements, indemnity, limitation of liability, termination, audit rights, insurance, funding restrictions, and compliance obligations.
  • Apply Neumoโ€™s contract playbooks, standard positions, fallback language, and escalation rules.
Privacy, Cybersecurity & Data Protection
  • Partner with the CISO, Information Security, Product, and Operations on privacy, cybersecurity, and data protection legal issues.
  • Review data processing agreements, security exhibits, privacy addenda, confidentiality terms, incident notification provisions, and data handling obligations.
  • Assist with incident response documentation, breach notification analysis, preservation notices, and outside counsel coordination.
  • Maintain privacy and data protection templates, policies, and internal guidance; monitor legal and regulatory developments relevant to GovTech, public-sector data, AI, and cybersecurity.
HR & Employment Legal Support
  • Partner with the CHRO and HR on employment-related legal matters, workforce risk, policy review, investigations, employee documentation, and escalation management.
  • Review and support offer letters, separation agreements, employment policies, investigation materials, restrictive covenant documents, and related HR documentation.
  • Support issue-spotting across employee relations, performance management, leaves of absence, wage-and-hour, classification, termination, and workplace conduct matters.
  • Coordinate with outside employment counsel on specialized, high-risk, or executive-level matters.
Procurement, Vendor & Operational Legal Support
  • Review vendor agreements, SaaS procurement terms, professional services agreements, data processing terms, security exhibits, and renewal documentation.
  • Assess vendor legal risk based on contract value, data access, operational criticality, and customer-facing impact.
  • Assist with vendor notices, amendments, termination letters, and transition documentation; coordinate with Finance, Procurement, and Information Security to integrate legal review into vendor intake and approval workflows.
  • Build practical templates and review standards for procurement and vendor management.
Compliance, Policy & Governance
  • Support development and maintenance of policies, procedures, templates, and controls across privacy, records retention, anti-corruption, conflicts of interest, procurement, and contract management.
  • Assist with government contract vehicle tracking, including GSA schedules, cooperative purchasing vehicles, state contracts, and other public-sector procurement channels.
  • Help create matter trackers, risk summaries, compliance reports, and documentation standards for internal leadership.
Legal Documentation, Templates & Process Improvement
  • Draft and review customer letters, legal notices, demand responses, cure notices, reservation of rights letters, and other legal correspondence.
  • Prepare internal legal summaries, issue briefs, risk assessments, investigation summaries, and recommendation memoranda.
  • Create and maintain templates for routine legal documents (MOUs, LOIs, amendments, notices, HR documents, vendor forms, and customer response language); convert recurring legal issues into playbooks, workflows, and operating procedures.
  • Develop practical internal guidance that helps business stakeholders understand legal requirements, approval paths, and escalation points.
Outside Counsel Coordination
  • Coordinate with outside counsel on employment, litigation, privacy incidents, regulatory matters, government contracting, tax, corporate, and jurisdiction-specific legal issues.
  • Scope outside counsel assignments to control cost; review work product for business usability and implementation.
  • Track matter status, key deadlines, budget expectations, and next steps; identify opportunities to bring repeatable work in-house through templates, playbooks, or process improvements.
Education and Experience
  • J.D. from an accredited law school; active bar membership in at least one U.S. jurisdiction.
  • 5+ years of relevant legal experience, with meaningful in-house experience in a technology, SaaS, GovTech, public-sector, PE-backed, or high-growth environment.
  • Strong generalist legal judgment across commercial contracts, privacy, employment, vendor agreements, disputes, compliance, and operational legal support.
  • Experience reviewing and negotiating commercial agreements, SaaS agreements, professional services agreements, vendor agreements, and government customer terms.
  • Experience with state and local government customers, public-sector procurement, RFP processes, cooperative purchasing vehicles, or government contracting requirements.
  • Experience supporting HR on employment-related matters, investigations, policies, and employee documentation.
  • Experience with Ironclad, Salesforce, or other CLM/CRM-enabled legal workflows.
Knowledge, Skills and Abilities
  • Background in privacy, cybersecurity, data protection, incident response, and public-sector data requirements.
  • Demonstrated ability to provide practical legal advice to business stakeholders and draft contracts, legal correspondence, internal guidance, templates, and policies.
  • Familiarity with PE-backed company environments, diligence readiness, legal risk reporting, integration workstreams, and outside counsel budget discipline.
  • Post-merger integration experience, including contract rationalization, entity cleanup, template harmonization, and legacy legal obligations.
  • Exposure to GovTech, public-sector software, payments, managed services, regulated SaaS, or government services businesses.
