Job description

Position Title: Hybrid or Remote Corporate Paralegal
Salary Range: $80,000-$130,000 / Year, DOE
Join a nationally recognized Am Law 100 firm where sophisticated corporate work meets a supportive, collaborative environment. This Corporate Paralegal will support emerging companies, venture capital and M&A matters, working directly with attorneys and clients on financings, transactions, due diligence, closings and ongoing corporate matters. The ideal candidate brings strong private-company corporate experience, understands the pace and precision of high-level transactional work, and knows how to keep complex deals moving without losing sight of the details. The client is open to someone fully remote outside Portland who can come in approximately quarterly, particularly for a candidate with strong Carta experience
Responsibilities
  • Support attorneys across emerging companies, venture capital, mergers and acquisitions, and other sophisticated corporate transactions
  • Draft, organize, proofread, and assemble closing documents, corporate approvals, financing documents, and other transactional materials
  • Coordinate due diligence by preparing checklists, tracking documents, reviewing materials and assisting with disclosure schedules
  • Prepare closing checklists, monitor outstanding items, and manage post-closing follow-up
  • Serve as a trusted liaison between attorneys and clients, responding to requests and coordinating transaction-related documentation
  • Prepare applications and supporting materials for state and federal regulators
  • Maintain accurate time records, track billable hours, and independently manage multiple priorities and deadlines

Requirements
  • 3+ years of corporate paralegal experience with significant exposure to private-company transactions
  • Strong hands-on experience supporting venture capital financings and mergers and acquisitions
  • Solid understanding of corporate law, business transactions, corporate governance, and transaction closings
  • Experience with Carta or Pulley strongly preferred, or a strong working understanding of cap table management
  • Ability to work independently, manage a demanding workload, and remain composed under pressure
  • Exceptional attention to detail, organization, communication, and follow-through
  • Bachelor's degree and/or paralegal certificate preferred
