Job description

Beacon is hiring a Senior Commercial Contracts Manager to own our contracting process end to end. We are looking for a highly experienced contracts professional with a paralegal or contracts administration background. What matters most is your negotiation expertise, not the credential behind it.

You will report directly to the General Counsel and be Beacon's primary point of contact for drafting, negotiating, and closing customer and supplier agreements, including pharma and biopharma collaboration agreements, clinical trial services agreements, home sleep testing partnerships, and vendor and supplier contracts. Because patient EEG and sleep data is Beacon's core commercial asset, you will need to be fluent in data rights: ownership, licensing scope, and secondary-use restrictions. You should also have a working knowledge of the HIPAA and GDPR issues that commonly arise in life sciences and health data contracting.

Beacon's robust asynchronous work practices ensure a first-class remote work experience, but we also have in-person office hubs located in Boston and New York. 

What You'll Do

  • Own the full contract lifecycle for customer and vendor agreements: drafting, negotiation, redlining, and execution from initial term sheet through signature and integration with Beacon systems.
  • Conduct negotiations on pharma and biopharma collaboration agreements, clinical trial services agreements, and data licensing and real-world data/real-world evidence (RWD/RWE) agreements.
  • Lead negotiations on SaaS and platform subscription agreements, licensing agreements, device supply agreements, and partnerships with health systems and academic medical centers.
  • Support commercialization of Beacon's FDA-cleared devices (Waveband, SleepView) by ensuring supply, distribution, and reseller agreements include appropriate regulatory cooperation and quality provisions.
  • Negotiate and manage supplier and vendor contracts, including HIPAA business associate agreements for vendors handling protected health information.
  • Serve as a subject-matter resource on data rights: ownership, licensing scope, and secondary-use and restriction provisions covering EEG, sleep, and other clinical data.
  • Apply working knowledge of privacy rules to flag issues in contracts and escalate matters to the General Counsel.
  • Help create, maintain and improve Beacon's contract templates, playbooks, and negotiation positions as the business and regulatory landscape evolve.
  • Manage the contract repository and tracking process, including renewal dates, milestone deadlines, and expirations.
  • Partner directly across the company to keep deals moving.
  • Give clear, plain-English guidance to non-lawyers on contract terms and risk.

What You'll Bring

  • 5-8+ years negotiating commercial agreements in-house, at a law firm, or in a paralegal/contracts role supporting a life sciences, health tech, or SaaS company.
  • Demonstrated experience independently negotiating customer-facing commercial agreements (SaaS, services, or life sciences collaboration agreements) from first draft to signature.
  • Solid understanding of data rights: data ownership, license scope, use restrictions, and how these terms drive commercial value.
  • Working familiarity with HIPAA and GDPR issues as they arise in commercial contracts. You do not need to be a privacy specialist, but you should recognize the issues and know when to escalate.
  • Excellent contract drafting skills and a clear, plain-English negotiation style.
  • Comfort working independently and reporting directly to the General Counsel in a lean legal function.
  • Based in the continental United States.

Nice to Have

  • Paralegal certification or contracts management credential.
  • Experience in life sciences, pharma/biopharma, medical devices, or digital health.
  • Experience negotiating clinical trial agreements or CRO-style service agreements.
  • Familiarity with contract lifecycle management (CLM) tools, such as Ironclad.
  • Experience with real-world data (RWD) or real-world evidence (RWE) licensing structures.
  • Exposure to FDA medical device regulatory considerations (e.g., 510(k) clearance) as they intersect with commercial agreements.
The base salary range for this role is determined based on past experience, specific skills and qualifications. The base salary is one component of the total compensation package, which includes equity, PTO and other benefits.
