McGraw Hill, the leading provider of digital and print educational resources, is looking for a Corporate Paralegal.  This position supports McGraw Hill’s in-house legal department and the corporation-at-large on matters of corporate governance, regulatory compliance, public company work and corporate housekeeping matters.

This is a remote position open to applicants authorized to work for any employer within the United States. 

 

What you will be doing:   

  • Working with the Company’s global corporate secretarial service provider, outside counsel and business units to manage corporate secretarial matters.
  • Managing corporate housekeeping functions of 30+ subsidiaries and branch offices, including preparing/updating the lists of legal entities, organizational charts, rosters of directors and officers, board/shareholder resolutions, powers of attorney, notarizations and legalizations, etc.
  • Preparing state political disclosure forms, vendor and conflict of interest questionnaires, ownership reports and other similar documentation in support of RFPs and vendor invoicing requirements.
  • Working with business units and outside counsel to register trademarks and domain names.
  • Managing the Legal Mailbox.
  • Responding to Services of Process.

We’re looking for someone with: 

  • Bachelor's degree required; bachelor's degree in a relevant discipline preferred.
  • Minimum of 3 years of relevant professional work experience.
  • Willingness to become a commissioned Notary Public promptly upon hire if not already commissioned.
  • Corporate governance experience at a publicly traded company preferred.
  • Current commission as a Notary Public preferred.
  • Residency in New York, New York preferred.

The pay range for this position is between $54,500 - $75,000 annually. However, base pay offered may vary depending on job-related knowledge, skills, experience, and location.  Additionally, a full range of medical and/or other benefits may be provided, depending on the position offered.
