POSITION DESCRIPTION:

We areseekinga highly skilled and business-minded Legal Counsel to join our dynamic team to support our day-to-day operations across multiple portfolios ofcompaniesas well as support M&A activities from the operations sidewhere necessary. In this pivotal role, you willbe responsible forprovidingstrategic legal guidance on a wide range of matters critical to our growth and operations. You will draft, negotiate, and manage complex commercial agreements, including software licensing, SaaS, vendor, and partnership agreements. Yourexpertisewill also be essential in supporting corporate governance, M&A due diligence, and navigating multi-jurisdictional legal issues. The ideal candidate is a pragmatic problem-solver who can distill complex legal concepts into practical, actionable business advice and thrive in a fast-paced, entrepreneurial environment.

KEY RESPONSIBILITIES:

Commercial & Operations Support

  • Draft, review, and negotiate commercial agreements including software licensing, SaaS agreements, and vendor contracts
  • Provide legal support for customer agreements and partnership arrangements
  • Advise on corporate governance matters and compliance issues
  • Support employment law matters and HR initiatives
  • Assistwith intellectual property matters including software licensing and IP management / protection

General Corporate Support

  • Maintain corporate records and ensure compliance with corporate formalities
  • Providelegal guidance on regulatory compliance matters
  • Collaborate with business teams toidentifyand mitigate legal risk

REQUIRED/MINIMUM QUALIFICATIONS:

  • Juris Doctor (J.D.)from an accredited law school
  • Active admission to practice law in good standingin the United States
  • Minimum5years of legal practice experience, law firm or in-house
  • Exceptionaldrafting and negotiation skills withdemonstratedability todraft andstructurecomplex commercial agreements
  • Stronganalytical and problem-solving abilities with sound legal judgment
  • Proven businessacumen and ability to provide practical, commercially oriented legal advice
  • Experience managing multiple priorities and stakeholders in a fast-paced environment
  • Excellent communication skills with ability to distill complex legal concepts for
    business audiences
  • Ability to navigate multi-jurisdictional legal issues and coordinate with international stakeholders
