McMillan has an exciting opportunity as a full-time Governance & Compliance Law Clerk to join our Corporate Services Department within the Business Law group.   This role is open as a replacement for an existing position. 

What You’ll Do

  • Provide corporate compliance and annual maintenance support for client entities.
  • Prepare and file annual returns and related corporate filings.
  • Draft routine corporate resolutions and minutes.
  • Process routine corporate changes and updates to entity records.
  • Prepare incorporation and organization documentation, as required.
  • Complete extra-provincial registrations and related filings.
  • Complete business name registrations and renewals.
  • Prepare straightforward amendments and related supporting documentation.
  • Review, analyze, and summarize corporate search results.
  • Support senior law clerks with basic minute book reviews and related remediation and updates.
  • Maintain and update corporate databases to ensure accurate, current records.
  • Enter daily time dockets for work performed, in accordance with firm standards.
  • Perform other duties, as assigned by the Manager, Corporate Services (Toronto).

What You Bring

  • Law Clerk/Paralegal Diploma and/or degree from an accredited university or college program (or equivalent, related experience).
  • At least 2 years of relevant experience in a Law Clerk, Paralegal, or similar role, ideally with a focus in Business Law.
  • Working knowledge of corporate governance requirements and compliance best practices.
  • Proficiency with Microsoft 365 (Word, Excel, Outlook), iManage, Adobe Professional, and virtual collaboration tools (e.g., Microsoft Teams).
  • Experience with cloud-based corporate data management software (e.g., MinuteBox) is considered an asset.
  • Strong written and verbal communication skills, with a high degree of accuracy and attention to detail.
  • Excellent organizational and prioritization skills, with the ability to manage competing deadlines, remain composed under pressure, and consistently present a professional image.
