Project Finance Associate Attorney – Am Law 100

Direct Counsel is seeking a Project Finance Associate Attorney with 3–5 years of experience to join a leading Am Law 100 law firm and its highly regarded Finance practice and Energy sector.

Position Overview

The ideal candidate will have meaningful experience in energy project finance, particularly renewable energy and infrastructure transactions. This role offers the opportunity to work on sophisticated project finance and tax credit transactions while gaining broad exposure to renewable energy and infrastructure matters.

Responsibilities
  • Represent developers, sponsors, lenders, investors, and other project participants in renewable energy and infrastructure transactions.
  • Advise clients on sophisticated project finance transactions and related financing matters.
  • Work on tax credit transactions, including tax equity transactions and energy tax credit transfers.
  • Draft, review, and negotiate credit agreements and related financing documents.
  • Review project documents and coordinate legal due diligence.
  • Coordinate input from subject-matter specialists and manage transaction workstreams.
  • Drive transactions toward closing and manage matters from initial structuring through completion.
  • Advise clients on project finance issues involving renewable energy and infrastructure assets.
  • Support transactions involving conventional generation and other energy and infrastructure assets, as applicable.
  • Collaborate with attorneys across practice groups and offices to deliver integrated client solutions.
  • Manage multiple workstreams while maintaining strong client service and attention to detail.
Qualifications
  • 3–5 years of energy project finance experience at a law firm.
  • Meaningful experience representing developers, sponsors, lenders, investors, or other participants in renewable energy and infrastructure transactions.
  • Experience drafting and negotiating credit agreements and related financing documents is required.
  • Experience with tax credit transactions, including tax equity and energy tax credit transfers.
  • Experience reviewing project documents and coordinating due diligence.
  • Strong project management skills and ability to manage multiple transaction workstreams.
  • Experience with conventional generation or other energy and infrastructure assets is a plus.
  • Strong drafting, analytical, communication, and negotiation skills.
  • Sound judgment and exceptional attention to detail.
  • Strong academic credentials.
  • Large law firm experience preferred.
  • J.D. from an ABA-accredited law school.
  • Active membership in good standing of the applicable state bar, with timely admission to the bar of the hiring jurisdiction required.
Compensation

The anticipated salary range for this position is $260,000–$350,000 annually, depending on education, experience, internal pay equity, and other job-related factors.
