Job Title: Member of Legal Staff, Corporate & Legal Ops Associate


Job Type: Full-time


Location: Remote (opportunity to work from SF office)


The Role

We are looking for a corporate legal professional who combines strong transactional execution with a genuine interest in AI and legal operations. The ideal candidate is either an experienced corporate paralegal or a junior corporate attorney with foundational training at a law firm and hands-on experience with venture financings, corporate governance, equity administration, and transaction closings.


This person will own the details that keep corporate matters moving, from drafting and signatures through filings, records, and closing organization. They will also help build AI-enabled workflows, self-service tools, and automations to reduce manual work, improve response times, and allow the legal team to focus on higher-value matters.


What You’ll Do

  1. Support venture financings, secondary transactions, board and stockholder approvals, and other corporate matters, including drafting documents and coordinating with outside counsel.
  2. Own transaction execution from signatures, checklists, and document circulation through closing sets and post-closing matters.
  3. Maintain the company’s master data room and ensure corporate records remain accurate, organized, and current.
  4. Manage corporate governance and entity administration, including state filings, annual reports, minute books, organizational documents, and subsidiary records.
  5. Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and reconciliation of equity records.
  6. Independently draft and manage routine corporate and legal documents, exercising judgment around when to escalate or involve outside counsel.
  7. Design AI-enabled legal intake and triage workflows, particularly for a highly asynchronous and Slack-driven environment.
  8. Build self-service tools, templates, playbooks, and automation for recurring legal processes such as NDAs, approvals, and signature requests.
  9. Identify repetitive legal work and develop systems that make the legal function faster, more accurate, and more scalable.


What We’re Looking For

  1. Significant experience supporting venture capital financings, M&A, or similar corporate transactions, with strong knowledge of transaction documents, approvals, and closing processes.
  2. Strong experience with corporate governance, entity management, state filings, cap tables, and equity administration.
  3. Exceptional organization and attention to detail, with the ability to independently drive matters from start to finish.
  4. Strong drafting, proofreading, project management, and communication skills.
  5. Genuine interest in AI, legal technology, workflow design, and automation.
  6. Strong judgment and the ability to identify issues that require escalation or outside counsel.
  7. A hands-on, collaborative approach and willingness to work across both legal and operational responsibilities.
  8. Comfort operating autonomously in a fast-paced, highly asynchronous environment.


Nice to Have

  1. JD and active U.S. bar membership with 3+ years of corporate experience at a leading U.S. law firm; or 8+ years of corporate paralegal experience supporting venture transactions across law firm and in-house environments.
  2. Experience supporting venture-backed or high-growth technology companies.
  3. Hands-on experience building workflows with AI tools, automation platforms, Slack integrations, or contract management systems.
  4. Experience improving or scaling legal processes through technology and automation.


Compensation & Benefits Notice

The national pay range for this full-time position is base salary of $120,000 –$150,000. All employees are eligible for equity compensation, and employees may also receive performance-based bonuses, dependent on role and subject to company policies. micro1 provides a comprehensive benefits package, including up to 100% reimbursement for health-insurance premiums, paid time off, a 401(K) plan with a company match, and additional benefits designed to support a high-performing, remote-first workforce.
