We are seeking a talented, highly motivated, proactive and collaborative lawyer to join its in-house legal team to support ezCater's rapidly growing business. You will be a critical member of ezCater's lean commercial legal team and an essential business partner to internal clients across various cross-functional groups. In this role, you will provide a wide range of high-quality, timely legal support, consisting principally of drafting, negotiating and reviewing a wide variety of commercial agreements, with primary responsibility for vendor and inbound contracts, and implementing strategies to streamline the contracting process across the business. The role will also include providing practical advice and guidance on a range of legal issues affecting ezCater's business and assisting with general legal matters and discrete projects. This individual must be skilled in drafting and negotiating a wide range of contracts, identifying and resolving legal issues, and balancing legal and business concerns. Candidates must be team-players and creative problem-solvers who work well in a fast-paced environment. Our new Assistant Corporate Counsel (Commercial) will report directly to the Director and Managing Counsel (Commercial).
What You'll Do:
  • Drafting, negotiating, reviewing and interpreting a wide variety of commercial agreements, including vendor contracts and other agreements to support the business, ensuring both business and legal objectives are met
  • Building and improving our contract templates, playbooks, talk tracks and legal processes to help our business scale
  • Developing, delivering and refreshing trainings on legal issues, contract best practices and key negotiating points
  • Providing practical legal analysis, strategy and guidance to internal clients and cross-functional teams that balances business objectives and legal risk and assisting clients in implementing legal guidance
  • Managing assigned legal projects to completion
  • Assisting in other legal matters, such as legal research, strategic transactions and legal escalations

What You Have:
  • Minimum 3-5 years legal experience in a law firm or in-house, with experience in commercial contracts, and membership to at least one state bar
  • Strong drafting skills (from forms and from scratch) with a solid understanding of legal terms and contract formulation principles, including confidentiality, indemnity, termination, representations and other common contract provisions
  • Excellent ability to negotiate with third parties in both non-confrontational and potentially adversarial scenarios
  • Ability to communicate the implications of legal requirements to internal clients
  • A strong work ethic, high standards, impeccable integrity, and well-honed analytical skills
  • Excellent judgment and ability to balance risk with business objectives, able to operate independently and know when to escalate issues to other in-house counsel
  • Ability to multi-task in a fast-paced, dynamic environment; adaptable to new situations and challenges
  • Excellent verbal and written communication skills with ability to write in a clear and concise manner and effectively communicate across all levels of the organization and with third parties
  • Strong interpersonal skills and are a reliable self-starter with a positive, inclusive and team-oriented attitude

The national total targetcash compensation range for this position, including base salary and bonus target, is $147,157-$210,477 annually.*
