Job description

We are looking for an experienced Corporate Paralegal to support a global public company’s legal team in Irvine, California, on a Contract basis. This opportunity is well suited for an experienced, detail-oriented individual who excels in corporate governance work, can manage a high volume of entity-related matters, and brings a practical, improvement-minded approach to legal operations. The role offers the chance to partner closely with legal leadership while helping maintain strong governance practices across a complex subsidiary structure.
Responsibilities:
• Oversee and organize governance records for a broad portfolio of U.S. subsidiary entities, ensuring documentation remains current and accessible.
• Coordinate key entity maintenance activities, including company formations, dissolutions, leadership updates, and structural changes across subsidiaries.
• Draft, revise, and preserve corporate documents such as resolutions, written consents, officer and director records, and related governance materials.
• Support projects involving legal entity reorganization, intercompany matters, and other subsidiary transactions requiring careful documentation.
• Prepare and manage tax and regulatory filings connected to entity governance and corporate maintenance obligations.
• Monitor compliance with applicable corporate requirements, with a strong emphasis on Delaware entity standards and related governance rules.
• Evaluate existing legal department workflows and recommend practical improvements that increase efficiency and strengthen governance processes.
• Work closely with attorneys and cross-functional stakeholders to provide reliable support, share observations, and help address day-to-day corporate governance needs.• At least 10 years of paralegal experience with a strong concentration in corporate governance and entity management.
• Demonstrated background supporting subsidiary maintenance, corporate recordkeeping, and officer and director administration.
• Prior experience within a global corporate legal department is strongly preferred.
• Exposure to public company legal environments and related governance expectations is preferred.
• Solid understanding of Delaware corporate governance requirements and entity compliance obligations.
• Strong organizational, communication, and project coordination skills with the ability to manage multiple priorities effectively.
• Sound judgment, relationship-building ability, and a proactive approach to identifying solutions and process improvements.
