Job description

We are looking for an experienced Attorney/Lawyer to support a long-term contract engagement in Chicago, Illinois. This role will focus on legal review, drafting, and advisory work tied to a portfolio of venture funds that have reached the end of their operating term and are moving through wind-down activities. The attorney will help interpret fund and shareholder-related agreements, guide closure requirements, and communicate with stakeholders to move documentation and approvals forward in an organized manner.
Responsibilities: • Review, interpret, and prepare legal documents related to venture funds, investor rights, asset matters, and stockholder arrangements. • Advise on the legal steps required to wind down multiple established funds in accordance with governing agreements and applicable obligations. • Examine fund documentation to confirm closure requirements, investor interests, and post-term responsibilities are properly addressed. • Support scenario-based legal actions for portfolio companies, including matters involving dissolved entities, acquired businesses, or ongoing operations. • Communicate directly with clients, investors, and other stakeholders to gather information, coordinate execution of documents, and obtain required signatures. • Assess ownership and distribution considerations when fund-held interests must be transferred, sold, or returned to investors. • Organize and apply existing legal templates while tailoring language to fit specific fund, shareholder, and transaction circumstances. • Provide clear legal guidance on fund structure, investor relationships, and agreement terms to help stakeholders understand available options and required next steps.
The pay range for this position is 60 to 80. Benefits available to contract/contract professionals, include medical, vision, dental, and life and disability insurance.
